Historical Financials definition

Historical Financials has the meaning set forth in Section 4.8(a).
Historical Financials has the meaning specified in Section 5.1(a)(xiii).
Historical Financials shall have the meaning ascribed to it in Section 5.8(a) hereof.

  • The Historical Financials have been prepared in accordance with GAAP consistently applied throughout the periods involved and fairly present, in all material respects, the financial position, results of operations and cash flows of the Loan Parties and their Subsidiaries for each of the periods covered.

Historical Financials as defined in Section 4.1.
Historical Financials means the unaudited balance sheets and statements of income of Seller as of and for the fiscal years ended December 31, 2006, December 31, 2005 and December 31, 2004 (including the footnotes thereto if any), and the unaudited balance sheet and statements of income and cash flows for the 10-month period ended October 31, 2007, attached hereto as Schedule 4.3.
Historical Financials shall have the meaning ascribed in Section 3.5.
