Hines Affiliate means any Person which:
Hines Affiliate means any one or more of (i) Xxxxxxx X. Xxxxx, his spouse and his children (including, without limitation, children by adoption); (ii) Xxxxxx X. Xxxxx, his spouse and his children (including, without limitation, children by adoption); (iii) a trust, all the vested beneficiaries of which are persons described in (i) and (ii) of this definition; (iv) a general or limited partnership, in which the only general partners are Xxxxxx X. Xxxxx, Xxxxxxx X. Xxxxx, a trust described in (iii) or an entity or party described in one of the other items of this definition; (v) a limited liability company in which the only managing members are one or more of Xxxxxx X. Xxxxx, Xxxxxxx X. Xxxxx, a trust described in (iii), or an entity described in one of the other items of this definition; (vi) a corporation all the stock of which is owned, directly or indirectly, by persons, entities or parties referred to in this definition; (vii) HILP; (viii) in the case of the deaths of both Xxxxxx X. Xxxxx and Xxxxxxx X. Xxxxx, the estate of either of them or the issue (including, without limitation, children by adoption and grandchildren), brothers, sisters and spouses of issue of Xxxxxxx X. Xxxxx; and (ix) any other entity owned or controlled, directly or indirectly, by an entity or person described in one of the other items of this definition. 1.58
Hines Affiliate means any partnership, limited liability company, corporation, trust or other entity as to which 50% or more of the beneficial interests are held, directly or indirectly, by and effective day to day Control resides in the Hxxxx Family and/or any current or former employees of Hxxxx Interests Limited Partnership or its successors. For the purposes of this Agreement, “Control” or “Controlled” shall mean with respect to any person, the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such person, whether through the ownership of voting securities, by contract or otherwise.
Examples of Hines Affiliate in a sentence
Manager shall not transfer or assign this Agreement or any part thereof or any of its rights or obligations hereunder without the prior written consent of Owner, provided that Owner’s consent shall not be required for an assignment to a Hines Affiliate (defined below).
Hines, members of the Hines Family, HILP, another Hines Affiliate, or one or more current or former employees of a Hines Affiliate.(nn) “Hines Global REIT Affiliate” means Hines Global REIT, Inc., and its direct or indirect subsidiaries, including any liquidating trust in connection with the Plan of Complete Liquidation and Dissolution of the Hines Global REIT, Inc.
NOW, THEREFORE, BE IT ORDAINED by the Township of Edison, County of Middlesex, New Jersey, that: 1.
Hines, a Hines Family Trust, HILP or another Hines Affiliate, and (y) has non-exclusive rights to use the “Hines” name or brand and to access the “Hines” support network in discharging its obligations under this Agreement.(ll) “ Hines Family” means any one or more of (i) Jeffrey C.
Any such Hines Affiliate may likewise assign its rights and obligations hereunder to the Development Manager, which may reassign to another Hines Affiliate from time to time in accordance with this subparagraph (a).
More Definitions of Hines Affiliate
Hines Affiliate means any entity which (x) is any of (i) a general or limited partnership, in which the only managing general partners are Xxxxxx X. Xxxxx, Xxxxxxx X. Xxxxx, HILP or another Hines Affiliate; (ii) a limited liability company in which the only managing members are one or more of Xxxxxx X. Xxxxx, Xxxxxxx X. Xxxxx, HILP or another Hines Affiliate; (iii) a corporation a majority of the voting stock of which is owned, directly or indirectly, by members of the Hines Family, one or more Hines Family Trusts or another Hines Affiliate; (iv) HILP; (v) any Hines Fund; or (vi) any other entity other than the entities described in clauses (i) - (v) of this definition that is Controlled, directly or indirectly, by Xxxxxx X. Xxxxx, Xxxxxxx X. Xxxxx, a Xxxxx Family Trust, HILP or another Hines Affiliate, and (y) has non-exclusive rights in writing to use the “Hines” name or brand and to access the “Hines” support network in discharging its obligations under this Agreement.

Xxxxx, HILP; (iii) a corporation a majority of the voting stock of which is owned, directly or indirectly, by any combination of members of the Hines Family, one or more Hines Family Trusts; (iv) HILP; (v) any Hines Fund; or (vi) any other entity other than the entities described in clauses (i) through (iv) of this definition that is Controlled, directly or indirectly, by one or more of Xxxxxx X. Xxxxx, Xxxxxxx X. Xxxxx, a Xxxxx Family Trust, HILP, or members of the Hines Family.
Hines Affiliate. - means HILP and any partnership, limited liability company, corporation, trust or other entity as to which (a) twenty percent (20%) or more of the beneficial interests are held, directly (including interests held through trusts) or indirectly, by HILP, any member of the Hines Family and/or any current or former employees of HILP, and (b) Control resides in HILP, Jeffrey C. Hines and/or Gerald D. Hines, or in the event of the death or disability of Jeffrey C. Hines and/or Gerald D. Hines, the estate of either or both of them.
Hines Affiliate means HILP and any partnership, limited liability company, corporation, trust or other entity as to which (a) twenty percent (20%) or more of the beneficial interests are held, directly (including interests held through trusts) or indirectly, by HILP, any member of the Hinex Xxxily and/or any current or former employees of HILP, and (b) Control resides in HILP, Jeffxxx X. Xxxxx xxx/or Geraxx X. Xxxxx, xx in the event of the death or disability of Jeffxxx X. Xxxxx xxx/or Geraxx X. Xxxxx, xxe estate of either or both of them.
Hines Affiliate or “Hines Affiliates” shall mean any partnership, limited liability company, corporation, trust or other entity owned (wholly or partially, directly or indirectly) and controlled (directly or indirectly) by Gxxxxx X. Xxxxx, Jxxxxxx X. Xxxxx, Hxxxx Interests Limited Partnership, a Delaware limited partnership (“HILP”), trusts established for the benefit of the Hines Family (as defined below), or in the event of the death or disability of Jxxxxxx X. Xxxxx and/or Gxxxxx X. Xxxxx, the estate of either of them. As used herein, the “Hines Family” shall mean Gxxxxx X. Xxxxx and/or Jxxxxxx X. Xxxxx, their respective parents, brothers and sisters, their respective spouses and children and/or grandchildren of any of the foregoing (including children or grandchildren by adoption).
