If the Holder Transfers all or any portion of this Warrant to any Highbridge Non-Affiliate in compliance with Section 3.1 of this Warrant, such Highbridge Non-Affiliate shall have the right to exchange this Warrant, in whole or in part, for a Series A Warrant exercisable for a number of Shares of Series A Preferred Stock equal to the number of Shares of Series B Preferred Stock for which this Warrant, or part thereof, being exchanged by such Highbridge Non-Affiliate is then exercisable.
