High-Level Dispute definition

High-Level Dispute means any dispute or disagreement (a) relating to liability under Section 6.04 or (b) in which the amount of liability in dispute exceeds $10 million.
High-Level Dispute means any dispute or disagreement (a) relating to liability under Section 7.05 of this Agreement or (b) in which the amount of liability in dispute exceeds $50 million.
High-Level Dispute means any dispute or disagreement in which the amount of the liability in dispute exceeds $2 million.

Examples of High-Level Dispute in a sentence

  • Any High-Level Dispute shall be resolved pursuant to the procedures set forth in Article VII of the Separation and Distribution Agreement.

  • In furtherance thereof, in the event of any dispute or disagreement (other than a High-Level Dispute) (a “Tax Arbitrator Dispute”) between the Companies as to the interpretation of any provision of this Agreement or the performance of obligations hereunder, the Tax departments of the Companies shall negotiate in good faith to resolve the Tax Arbitrator Dispute.

  • Any High-Level Dispute shall be resolved pursuant to the procedures set forth in Section 8.07 (Direct Claims) of the Separation and Distribution Agreement.

  • In furtherance thereof, in the event of any dispute or disagreement (other than a High-Level Dispute) (a “Tax Advisor Dispute”) between any member of the Xxxxxxx Controls Group and any member of the Adient Group as to the interpretation of any provision of this Agreement or the performance of obligations hereunder, the Tax departments of the Companies shall negotiate in good faith to resolve the Tax Advisor Dispute.

  • Any High-Level Dispute shall be resolved pursuant to the procedures set forth in Article VIII of the Separation and Distribution Agreement.

  • Nothing in this Article XIV will prevent either Company from seeking injunctive relief if any delay resulting from the efforts to resolve the Tax Arbitrator Dispute through the Tax Arbitrator (or any delay resulting from the efforts to resolve any High-Level Dispute through the procedures set forth in Article VII of the Separation Agreement) could result in serious and irreparable injury to either Company.


More Definitions of High-Level Dispute

High-Level Dispute means any dispute or disagreement in which the amount of the liability in dispute exceeds $2 million. “Indemnitee” shall have the meaning set forth in Section 11.03.

High-Level Dispute means any dispute or disagreement (a) relating to liability under Section 7.03 of this Agreement or (b) in which the amount of the liability in dispute exceeds [$2 million]. “Indemnitee” shall have the meaning set forth in Section 13.03.
High-Level Dispute means any dispute or disagreement (a) relating to liability under Section 6.04 or (b) in which the amount of liability in dispute exceeds $10 million. “Income Tax” means any Federal Income Tax, State Income Tax or Foreign In- come Tax. “Indemnitee” has the meaning set forth in Section 12.03. “Indemnitor” has the meaning set forth in Section 12.03. “IRS” means the United States Internal Revenue Service. “Jersey SpinCo” means Adient Global Holdings Ltd, a Jersey public limited com- pany and a direct wholly owned Subsidiary of Adient immediately following the Distribution. “Jersey SpinCo Shares” means the ordinary shares, par value £1 per share, of Jer- sey SpinCo. “Xxxxxxx Controls” has the meaning set forth in the Preamble. “Xxxxxxx Controls Business” has the meaning set forth in the Separation and Dis- tribution Agreement.

Related to High-Level Dispute

  • Labor dispute as used here, means a strike, lockout, or other labor dispute between the Employer and its Employees, during which time the Employee is not paid by the Employer.

  • Dispute Period shall have the meaning specified in Section 9.3(a).

  • Clinical experience means providing direct services to individuals with mental illness or the provision of direct geriatric services or special education services. Experience may include supervised internships, practicums, and field experience.
