  • Under this procedure Hyatt shall provide to H-Group, HGMI and HCC, as appropriate, all IRS Forms W-4 and W-5 on file with respect to each Gaming Employee, and H-Group, HGMI and HCC will honor these forms until such time, if any, that such Gaming Employee submits a revised form.

  • Unless otherwise prohibited by a Plan document or by this or an Ancillary Agreement, H-Group, HGMI and HCC, as appropriate, will honor payroll deduction authorizations attributable to Gaming Employees that are in effect with Hyatt on the Closing relating to each Gaming Employee, and shall not require that such Gaming Employee submit a new authorization to the extent that the type of deduction by H-Group, HGMI and HCC, as appropriate does not differ from that made by Hyatt.

  • H-Group, HGMI and HCC shall not unreasonably withhold their consent to adopt such an agreement with such administrator.

  • HGMI shall also establish, or cause to be established, a separate rabbi trust to form a part of the Gaming MSP and the Gaming DSP.
