HEP Parties as used herein shall include the successors and assigns of HEP Operating and Grantor under the Service Agreement, but shall not mean or include Administrative Agent. The term “Property” as used herein shall mean the Property, the improvements now or hereafter located thereon and the estates therein encumbered by the Senior Mortgages. The term “Xxxxx” as used herein shall include the successors and assigns of Xxxxx hereunder and under the Service Agreement including, without limitation, any Xxxxx Successor.

Examples of HEP Parties in a sentence

  • Each Purchaser agrees that it will indemnify and hold harmless the HEP Parties from and against any and all claims, demands, or liabilities for broker’s, finder’s, placement, or other similar fees or commissions incurred by such Purchaser or alleged to have been incurred by such Purchaser in connection with the purchase of the Purchased Units or the consummation of the transactions contemplated by this Agreement.

  • Any Confidential Information or Trade Secrets now known or hereafter acquired by CTV with respect to the HEP Parties or its business shall be deemed a valuable, special and unique asset of the HEP Parties that has been received by CTV in confidence and as a fiduciary, and CTV shall remain a fiduciary to the HEP Parties with respect to all such Confidential Information and/or Trade Secrets.

  • Each of the HEP Parties, jointly and severally, represents and warrants to, and agrees with the Managers as set forth below in this Section 2.

  • Nothing in this Agreement shall impair, as between the HEP Parties, on the one hand, and Xxxxx, on the other hand, the obligations of the HEP Parties, which are absolute and unconditional, to perform the HEP Obligations in accordance with their terms.

  • A rejection, by or on behalf of the HEP Parties, of the Service Agreement in bankruptcy.

  • Note Parties means, collectively, the Company and each Guarantor.

  • Covered Parties has the meaning set forth in Section 6.7(a).

  • Bank Parties means Administrative Agent and the Banks.

  • Applicable Parties has the meaning assigned to it in Section 8.03(c).

  • Concert Parties means such Persons as are deemed to be Acting in Concert with AbbVie pursuant to Rule 3.3 of Part A of the Takeover Rules.

  • Settling Parties means the Defendants and the Class Representatives, on behalf of themselves, the Plan, and each of the Class Members.

  • Backstop Parties means, collectively, the Initial Backstop Parties and the Additional Backstop Parties.

  • Relevant Parties means the Agent, each Borrower, each Security Party, the Security Trustee, each Lender and the Swap Bank;

  • Warrantors means the Founders, the Founder Holdcos and the Group Companies.

  • Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.

  • Contributors means any organization(s), entity(ies) and/or individual(s) providing technology and/or patent rights related to the ATCC Material, or original material to ATCC for deposit.

  • Party/Parties means Buyer and Seller individually/collectively.
