Head Charters definition

Head Charters means the charters identified in Schedule 6 for certain of the Collateral Vessels only with at any relevant time more than thirty six (36) months remaining and entered into between the relevant Collateral Owner and the relevant Head Charterer, and each a “Head Charter”.
Head Charters means each of those five (5) certain timecharters dated as of August 1, 2001 in respect of each of the Vessels by and between the Head Charterer and the relevant Borrower;

Examples of Head Charters in a sentence

  • Lender shall have received a current certified copy of all corporate proceedings of each charterer of an Assigned Charter (except for the Head Charters) evidencing that all action required to be taken in connection with the authorization, execution, delivery and performance of the Loan Documents to which it is a party and the transactions contemplated hereby and thereby has been duly taken.

  • The Debtors will, and shall require the Collateral Vessel Owner to duly observe and perform in all material respects all covenants and obligations to be performed by it under any charter of any Security Vessel, including, without limitation, the Head Charters, and will promptly take any and all action as may be reasonably necessary to enforce its rights under any such charter or to secure the performance by such charterer of the charterer’s obligations under any such charter.

  • Lender shall have received the written opinions addressed to it of New York, Panama, Xxxxxxxx Islands, and Bermuda counsel for each Debtor, the Pledgor, each Collateral Vessel Owner, each Guarantor and each charterer of an Assigned Charter (except for the Head Charters), satisfactory in form and substance to Lender.

  • Lender shall have received the written opinions addressed to it of New York, Panama, Xxxxxxxx Islands and Bermuda counsel for each Debtor, the Pledgor, each Guarantor and each charterer of an Assigned Charter (except for the Head Charters), satisfactory in form and substance to Lender.

  • Lender shall have received and found to be satisfactory each Charterer’s Consent, subordinating any rights of any charterer under an Assigned Charter (except the Head Charters) in the Collateral to the rights of Lender under the Earnings Assignments, Assignment of Insurances and the Mortgages.

Related to Head Charters

  • CFA Charter means the charter earned through the Chartered Financial Analyst program prepared and administered by the CFA Institute and so named on the day this Instrument comes into force, and every program that preceded that program, or succeeded that program, that does not have a significantly reduced scope and content when compared to the scope and content of the first-mentioned program;

  • Restated Charter means the Company’s Amended and Restated Certificate of Incorporation, as amended and/or restated from time to time.

  • Time Charter means the hire of a Vessel by which the charterer obtains possession and control of the Vessel for an agreed period of time or an agreed voyage.

  • Bareboat Charter means the bareboat charter agreement to be executed by the Effective Date by the Borrower as owner and the Charterer as bareboat charterer.

  • Company Bylaws means the Amended and Restated Bylaws of the Company as in effect on the date hereof.

  • Company Charter means the certificate of incorporation of the Company, as amended.

  • Community Charter means the Community Charter, S.B.C. 2003, c. 26, as may be amended or replaced from time to time;

  • Charter means the Corporation’s certificate or articles of incorporation, articles of association, or similar organizational document.

  • Articles of Association means the articles of association of the Company, as amended from time to time.

  • Amended Articles means the amended articles of JMB, reflecting the alterations to the Original Articles as provided for in the Plan, substantially in the form attached as Schedule “A” to the Plan;

  • Charter contract means a fixed term, renewable contract between a charter school and an authorizer that outlines the roles, powers, responsibilities, and performance expectations for each party to the contract.

  • Charter Assignment means a specific assignment of each Extended Employment Contract required to be executed hereunder by any Borrower in favour of the Security Trustee (including any notices and/or acknowledgements and/or undertakings associated therewith) in such form as the Agent and the Majority Lenders may require in their sole discretion;

  • Instrument of Incorporation means the instrument of incorporation of the ICAV;

  • Memorandum and Articles means the Memorandum and Articles of Association of the Company in effect from time to time.

  • Charter Documents means, with respect to any entity, the certificate of incorporation, the articles of incorporation, by-laws, articles of organization, limited liability company agreement, partnership agreement, formation agreement, joint venture agreement or other similar organizational documents of such entity (in each case, as amended).

  • Restated Certificate of Incorporation means the Restated Certificate of Incorporation of the Company, as amended.

  • Bylaws means the bylaws of the Corporation, as they may be amended from time to time.

  • Traineeship Agreement means an agreement made subject to the terms of this award between an employer and the trainee for a traineeship and which is registered with the appropriate state training authority, NETTFORCE, or under the provisions of the appropriate state legislation. A traineeship agreement shall be made in accordance with the relevant approved traineeship scheme and shall not operate unless this condition is met.

  • Certification of Incorporation means the restated certificate of incorporation of the Corporation, as it may be amended from time to time, and shall include this Certificate of Designations.
