HD Research and Development definition

HD Research and Development means any activity useful for the creation, development, manufacture or distribution of a product or service for the diagnosis, treatment, cure or prevention of Huntington's disease other than (i) the manufacture or distribution of any such product or service for sale or (ii) the sale of any such product or service. For the avoidance of doubt, HD Research and Development shall not include any right to (A) manufacture or distribute any such product or service for sale or (B) sell any such product or service.

  • CHDI hereby grants to the Recipient a non- exclusive, non-transferable, non-assignable, non-sublicensable, paid-up license throughout the world to (i) replicate the Material and (ii) use the Material for the sole purpose of conducting HD Research and Development.

  • In particular, the Recipient hereby acknowledges and agrees that no express or implied licenses or other rights are provided to use the Material, Modifications or any related patents of CHDI, the Original Materials Contributor(s) or any other third party for any purpose other than HD Research and Development.

  • The Recipient agrees to provide appropriate acknowledgement of the source of the Material (both CHDI and the IP Rights Owner) in all publications related to HD Research and Development conducted using the Material.

  • The Foundation shall have the right to grant sublicenses under any such Company Proprietary Research Material solely to Foundation Collaborators solely for HD Research (and Development, including to enable the use of the Project Deliverables, Project Results and Project Intellectual Property); provided, that, such sublicense (a) is granted without payment of royalties, other fees or profit and (b) prohibits the sublicensee from granting sublicenses.

  • For the avoidance of doubt, the use of any Company Background Intellectual Property pursuant to this Section 11(b)(i) shall be solely for HD Research and Development and for no other purposes.

  • In particular, the Recipient hereby acknowledges and agrees that no express or implied licenses or other rights are provided to use the Material, Modifications or any related patents of CHDI or the IP Rights Owner for any purpose other than HD Research and Development.

Related to HD Research and Development

  • Research and development means (1) theoretical analysis, exploration, or experimentation; or (2) the extension of investigative findings and theories of a scientific or technical nature into practical application for experimental and demonstration purposes, including the experimental production and testing of models, devices, equipment, materials, and processes. Research and development does not include the internal or external administration of radiation or radioactive material to human beings.

  • Research and development facility means an establishment engaged in laboratory, scientific, or experimental testing and development related to new products, new uses for existing products, or improving existing products. The term does not include an establishment engaged in efficiency surveys, management studies, consumer surveys, economic surveys, advertising, promotion, banking, or research in connection with literary, historical, or similar projects.

  • Nuclear fuel cycle-related research and development activities means those activities which are specifically related to any process or system development aspect of any of the following: - conversion of nuclear material, - enrichment of nuclear material, - nuclear fuel fabrication, - reactors, - critical facilities, - reprocessing of nuclear fuel, - processing (not including repackaging or conditioning not involving the separation of elements, for storage or disposal) of intermediate or high-level waste containing plutonium, high enriched uranium or uranium-233, but do not include activities related to theoretical or basic scientific research or to research and development on industrial radioisotope applications, medical, hydrological and agricultural applications, health and environmental effects and improved maintenance.

  • Commercial Development means any development on private land that is not heavy industrial or residential. The category includes, but is not limited to: hospitals, laboratories and other medical facilities, educational institutions, recreational facilities, plant nurseries, multi-apartment buildings, car wash facilities, mini-malls and other business complexes, shopping malls, hotels, office buildings, public warehouses and other light industrial complexes.

  • Land development means the erection of buildings or structures on land, or the change of use of land, including township establishment, the subdivision or consolidation of land or any deviation from the land use or uses permitted in terms of an applicable land use scheme;

  • Michigan economic development corporation means the public body corporate created under section 28 of article VII of the state constitution of 1963 and the urban cooperation act of 1967, 1967 (Ex Sess) PA 7, MCL 124.501 to 124.512, by a contractual interlocal agreement effective April 5, 1999, as amended, between local participating economic development corporations formed under the economic development corporations act, 1974 PA 338, MCL 125.1601 to 125.1636, and the Michigan strategic fund. If the Michigan economic development corporation is unable for any reason to perform its duties under this act, those duties may be exercised by the Michigan strategic fund.

  • Existing development means development, other than that associated with agricultural or forest management activities, that meets one of the following criteria:
