HCV Products definition

HCV Products means, collectively, XXX-000, XXX-000, and VCH-222.
HCV Products means any preparations in final form for sale by prescription, over-the-counter or any other method for any indication, including human or animal use, which contain Compound(s) which (i) are approved as an RMC Development Candidate during the Research Program or within ten (10) years thereafter and (ii) are initially developed for the prevention and/or treatment of infections caused by hepatitis C virus. It is understood that Compounds which are claimed in or covered by Isis Patent Assets or Isis Research Patent Assets and which meet the criteria set forth in (ii) above but do not meet the criteria set forth in (i) above are Compounds included in Article 1.10.

Examples of HCV Products in a sentence

  • In the event that, at any time during the term of the Agreement Merck, in good faith, determines that the use of Compounds for Hepatitis C polymerase inhibition is not scientifically or commercially viable, Merck will have no further due diligence obligation for HCV Products under this Agreement.

  • Subject to the terms and conditions of this Agreement, Novartis hereby grants to Idenix, a perpetual, royalty free, fully paid up, worldwide, irrevocable (except as provided in Section 11.5.1(b)), sublicenseable, non-exclusive license under the Novartis HCV Studies Intellectual Property, to research, Develop, Manufacture and Commercialize Idenix HCV Products.

  • If such Third Party laboratory determines that such IDX HCV Products are Non-conforming Products, IDX shall pay the costs of the analysis conducted by such laboratory.

  • Terms of Delivery Idenix would deliver the IDX HCV Products EXW Idenix’s manufacturing facility as such term is defined in INCOTERMS 2010.

  • Firm Orders Novartis would submit firm written purchase orders for the IDX HCV Products with a lead time of at least [**] days and for amounts not to exceed what is reasonably necessary for the relevant HCV Combination Clinical Trial.

  • Failure to provide notice within such time period would be deemed acceptance of the relevant IDX HCV Products.

  • Commencement of Supply Idenix will be ready to supply Novartis with the IDX HCV Products reasonably required to conduct the applicable HCV Combination Clinical Trial within [**] days after review of Novartis’ development plan for the applicable HCV Combination Clinical Trial (the “Development Plan”) or such later date as mutually agreed by the Parties.

  • In the event that the Parties mutually agree, or it is determined by an independent Third Party laboratory that such IDX HCV Products are Non-conforming Products, such Non-conforming Products will be replaced within a reasonable period of time with conforming IDX HCV Products at Idenix’s cost.

  • Notwithstanding anything to the contrary in this Agreement or the Confidentiality Agreement, from and after the public announcement of the transactions contemplated by this Agreement, Parent may disclose information about the HCV Products that it deems, in its sole discretion, is of material interest to Parent’s investors, including but not limited to releasing top-line data from the Phase 1 clinical trial of VCH-222.

  • If such Third Party laboratory determines that such IDX HCV Products are not Non-conforming Products, Novartis shall pay the costs of the analysis conducted by such laboratory.

  • Licensed Products means tangible materials which, in the course of manufacture, use, sale, or importation, would be within the scope of one or more claims of the Licensed Patent Rights that have not been held unpatentable, invalid or unenforceable by an unappealed or unappealable judgment of a court of competent jurisdiction.

  • New Products means any product which is not an Enhanced Product or 2 Existing Product but which is substantially similar to an Existing Product with respect to design and function and possesses reasonable performance improvements. If Company desires to purchase an Enhanced or New Product(s) from Supplier, Company shall so notify Supplier and provide Supplier the opportunity to manufacture such Enhanced or New Product(s), subject to the following conditions and procedures.

  • SAP Products means Software, Documentation, SAP Materials, Services, Subscription Services, Cloud Services and Maintenance Services. “SAP SDK” means SAP software development kit that includes tools such as APIs, source code, redistributable files and instructions. “Services” means SAP’s then-current services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • Marijuana products means concentrated marijuana products and marijuana products that are comprised of marijuana and other ingredients and are intended for use or consumption, such as, but not limited to, edible products, ointments, and tinctures.

  • Cannabis products means cannabis that has undergone a process whereby the plant material has been transformed into a concentrate, including, but not limited to, concentrated cannabis, or an edible or topical product containing cannabis or concentrated cannabis and other ingredients.

  • Tobacco products means cigars, cigarettes, cheroots, stogies, periques, granulated, plug cut, crimp cut, ready rubbed, and other smoking tobacco, snuff, snuff flour, moist snuff, cavendish, ping and twist tobacco, fine-cut and other chewing tobaccos, shorts, refuse scraps, clippings, cuttings and sweepings of tobacco, and other kinds and forms of tobacco, prepared in such manner as to be suitable for chewing or smoking in a pipe or otherwise, or both for chewing and smoking.

  • processed products means goods placed under a processing procedure which have undergone processing operations;

  • Biological product means a virus, therapeutic serum, toxin, antitoxin, vaccine, blood, blood component or derivative, allergenic product, protein other than a chemically synthesized polypeptide, or analogous product, or arsphenamine or any derivative of arsphenamine or any other trivalent organic arsenic compound, applicable to the prevention, treatment, or cure of a disease or condition of human beings.

  • Product means any deliverable under the Contract, which may include commodities, services, technology or software.

  • Competing Products means any product or service in existence or under development that competes with any product or service of the Company Group about which the Participant obtained Confidential Information or for which the Participant provided advisory services or had sales, origination, marketing, production, distribution, research or development responsibilities in the last twenty-four (24) months of employment with the Company Group.
