HBM Shares means ordinary shares of £3.00 each (or such lower nominal value as the directors of HBM shall decide prior to the date on which the Court is asked to sanction the Scheme) in the capital of HBM, or of 10 pence each following the proposed reduction of capital of HBM;

  • Swiss Federal withholding tax amounts to 35% of the difference between the buy-back price of the HBM Shares and their par value.

  • In the event where put options are exercised and HBM Shares are sold to the Company, the difference between the shares' buy-back and their book value constitutes taxable income ("book value principle").

  • Whenever HBM intends to distribute rights to purchase additional HBM Shares, HBM will give prior notice to the ADS Depositary.

  • The ADS Depositary may create HBM ADSs on behalf of the holders of HBM ADSs if holders or their brokers deposit HBM Shares with the Custodian.

  • VMTP Shares means Variable Rate MuniFund Term Preferred Shares, $0.00001 par value per share, liquidation preference $100,000 per share plus an amount equal to accumulated but unpaid dividends thereon (whether or not earned or declared), of the Trust. The preferences, voting powers, restrictions, limitations as to dividends, qualifications, and terms and conditions of redemption of each series of VMTP Shares are set forth in the VMTP Shares Statement.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Coop Shares Shares issued by a Cooperative Corporation.

  • Subscriber Shares means the Shares which the subscribers to the Instrument of the ICAV agree to subscribe for as more particularly hereinafter set forth after their names.

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • ASA Shares has the meaning set forth in 2.4(a).

  • Remaining Shares shall have the meaning set forth in Section 2.03(a).

  • Settlement Shares With respect to any Settlement Date, a number of Shares, not to exceed the Base Amount, designated as such by Party B in the related Settlement Notice or by Party A pursuant to “Termination Settlement” below; provided that on the Maturity Date the number of Settlement Shares shall be equal to the Base Amount on such date.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreements, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Newco Shares means the common shares in the capital of Newco;

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Sponsor Shares shall have the meaning given in the Recitals hereto.

  • Amalco Shares means the common shares in the capital of Amalco;

  • Co-op Shares Shares issued by private non-profit housing corporations.

  • Investor Shares shall have the meaning given in the Recitals hereto.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Option Stock shall have the meaning set forth in Section 2(a) hereof.

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Offered Shares has the meaning set forth in Section 3.02(a).

  • Sold Shares shall have the meaning specified in Section 6.

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Closing Shares shall have the meaning ascribed to such term in Section 2.1(a)(i).

  • Subscription Shares has the meaning ascribed to it in Section 2.1.

  • PIPE Shares shall have the meaning given in the Recitals hereto.
