Hardware Technology definition

Hardware Technology means the modified PDA sleeve for all Compaq iPAQ PDAs that are compatible with the CompactFlash Expansion Pack for the iPAQ 3800, 3900, 5100 and 5500 series, including, but not limited to all circuitry, design, manufacturing know-how and related intellectual property that provides amplified sound output from a PDA running the Say-it! ▇▇▇ software or other sound-generating software. Nothing in this Agreement shall preclude Buyer from developing its own hardware technology to replace the Hardware Technology being acquired from Seller.
Hardware Technology means all hardware-related Technology, materials, tools and documents that are necessary or useful to Commercialize any Apple Sensors, including all of the following in unencrypted source formats where applicable, all related firmware and all documentation related to any of the following, in each case, owned, acquired, controlled or licensable by, or assigned to, AuthenTec or any of its Affiliates as of the Effective Date: RTL; schematics; test benches and supporting verification flow programs and scripts; formal verification code; flow; high level and low level models; microcode controllers; behavioral models; performance models; tools required to compile any source code; and all other tools and documentation necessary or useful to develop, test, manufacture and/or use any Apple Sensors. Hardware Technology includes the Technology, materials, tools, documents and other items listed in Schedule G attached hereto.

Examples of Hardware Technology in a sentence

  • Buyer desires to purchase all rights, title, and interest of Seller in and to the Software Technology, Hardware Technology, the Marks and the Domain Names as well as ongoing support from Seller in accordance with the terms and conditions of this Agreement.

  • All revisions, updates, maintenance and Support of the Software Technology and Hardware Technology shall be provided to Buyer when such products or services are available.

  • The Software Technology and Hardware Technology was developed internally by Seller or acquired by Seller, and was not misappropriated from another.

  • Unless expressly set forth in this O&O Terms & Conditions or required under any applicable laws, the Hardware, Technology Solutions, System Parts and System Services are provided “as- is” with no warranties, and ecoSPIRITS expressly excludes and disclaims any warranties under or arising as a result of this O&O Terms & Conditions, whether express, implied or statutory.

  • Unless expressly set forth in this Hybrid Terms & Conditions or required under any applicable laws, the Hardware, Technology Solutions, System Parts and System Services are provided through ecoSPIRITS or a Licensed Operator, as the case may be, on an “as-is” basis with no warranties, and ecoSPIRITS expressly excludes and disclaims any warranties under or arising as a result of this Hybrid Terms & Conditions, whether express, implied or statutory.

  • Seller agrees to provide maintenance Support and enhancements for the Software Technology and Hardware Technology.

  • Buyer shall maintain complete and accurate records relating to the net revenues received by Buyer for the Software Technology and Hardware Technology.

  • Seller agrees that in the event of a breach of this Agreement as a result of the unauthorized use of the Software Technology, Hardware Technology or dissemination of information regarding the Software Technology and Hardware Technology, including disclosure of Proprietary Information, Seller shall be irreparably injured and shall be without an adequate remedy at law.

  • Seller will deliver and provide installation instructions for the Software Technology and Hardware Technology with the program documentation at a time mutually agreed upon by the parties.

  • Seller has not granted any license or other right to use or interest in the Software Technology or Hardware Technology to any third party.

Related to Hardware Technology

  • Program Technology means Program Know-How and Program Patents.

  • New Technology means methods, products, processes and procedures developed through science or research;

  • Technology means all the software, prototypes, devices, drawings, specifications, lab notebooks, manuals, databases, equipment, files, technical memoranda, invention disclosures, patent application files, research studies, testing data, plans, files, formulas, computer programs, data and information, quality control records and procedures, research and development files containing, embodying or revealing the trade secrets, confidential information, and know-how that constitute Intellectual Property.

  • Licensee Technology means the Licensee Know-How and Licensee Patents.

  • Manufacturing Technology means any and all patents, patent applications, Know-How, and all intellectual property rights associated therewith, and including all tangible embodiments thereof, that are necessary or useful for the manufacture of adeno- associated viruses, adeno-associated virus vectors, research or commercial reagents related thereto, Licensed Products, or other products, including manufacturing processes, technical information relating to the methods of manufacture, protocols, standard operating procedures, batch records, assays, formulations, quality control data, specifications, scale up, any and all improvements, modifications, and changes thereto, and any and all activities associated with such manufacture. Any and all chemistry, manufacturing, and controls (CMC), drug master files (DMFs), or similar materials provided to regulatory authorities and the information contained therein are deemed Manufacturing Technology.
