Halozyme definition

Halozyme is defined in the preamble hereof. “Indebtedness” is (a) indebtedness for borrowed money or the deferred price of property or services, such as reimbursement and other obligations for surety bonds and letters of credit, (b) obligations evidenced by notes, bonds, debentures or similar instruments, (c) capital lease obligations, and (d) Contingent Obligations.

Halozyme means Halozyme, Inc., a California corporation.

• On the terms and conditions of this Article 7, Halozyme shall manufacture (or have manufactured), sell and deliver to Company all API required by Company, its sublicensees and their respective Affiliates for use in the preclinical development and clinical development of the Products, and Company shall purchase exclusively from Halozyme all quantities of API required by Company, its sublicensees and their respective Affiliates for use in the preclinical and clinical development of the Products.

• Halozyme shall not unreasonably withhold letters of authorization.

• Company shall (and shall procure that its sublicensees and their respective Affiliates shall) use such API supplied by Halozyme solely for the development, manufacture and commercialization of Products pursuant to this Agreement.
