Guaranty of Payment definition

Guaranty of Payment means each Guaranty of Payment executed and delivered on or after the Closing Date in connection with this Agreement by the Guarantors of Payment, as the same may from time to time be amended, restated or otherwise modified.

Guaranty of Payment means (a) in the case of Borrower, the Parent Guaranty of Payment, and (b) in the case of any Subsidiary of Borrower, each of the Amended and Restated Guaranties of Payment executed and delivered on or after the Effective Date in connection herewith by the Guarantors of Payment, as the same may from time to time be further amended, restated or otherwise modified.

Guaranty of Payment means the terms and provisions of Article XII hereof and any other guaranty of the obligations of Borrowers executed and delivered on or after the Closing Date in connection herewith by the Guarantors of Payment, as the same may from time to time be amended, restated or otherwise modified.

More Definitions of Guaranty of Payment

Guaranty of Payment means (a) in the case of a guaranty by Nordson, a guaranty in the form and substance attached hereto as Exhibit F duly completed to the reasonable satisfaction of the Agent, and (b) in the case of any Subsidiary, a guaranty substantially similar to Exhibit F attached hereto modified to the reasonable satisfaction of the Agent to reflect the nature of it as a subsidiary guaranty.

Guaranty of Payment means (a) in the case of Borrower, the Parent Guaranty of Payment, and (b) in the case of any Subsidiary of Borrower, each of the Guaranties of Payment of Debt executed and delivered on or after the Closing Date in connection herewith by the Guarantors of Payment, as the same may from time to time be amended, restated or otherwise modified.

Guaranty of Payment means that certain Guaranty of Payment ------------------- dated the date hereof by Borrower in favor of Lender, guaranteeing payment of certain loans made by Lender to certain Affiliates of Borrower, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time.

Guaranty of Payment means each Guaranty of Payment of Debt, in the form of Exhibit E hereto, executed and delivered on or after the Closing Date in connection herewith by the Guarantors of Payment, as the same may from time to time be amended, restated or otherwise modified.

Guaranty of Payment. The term "Guaranty of Payment" as used in this Agreement shall mean that certain Guaranty of Payment dated the date hereof given by Guarantors to Agent, the form of which is attached hereto as Exhibit J.

Guaranty of Payment means each of the Guaranties of Payment of Debt executed and delivered after the Closing Date in connection herewith by the Guarantors of Payment, as the same may from time to time be amended, restated or otherwise modified.

Guaranty of Payment means any guaranty given by IMS Health in connection with an IMS Health Guaranteed Demand Loan in the form of Exhibit A to the Form Demand Promissory Note attached thereto as Exhibit A.
