Guarantor Hedge Agreement Obligations as to any Guarantor, the collective reference to all obligations and liabilities of such Guarantor (including, without limitation, interest accruing at the then applicable rate provided in any Specified Hedge Agreement after the filing of any petition in bankruptcy, or the commencement of any insolvency, reorganization or like proceeding, relating to such Guarantor, whether or not a claim for post-filing or post-petition interest is allowed in such proceeding) to any Lender, any affiliate of any Lender or any other counterparty to such Specified Hedge Agreement, whether direct or indirect, absolute or contingent, due or to become due, or now existing or hereafter incurred, which may arise under, out of, or in connection with, any Specified Hedge Agreement or any other document made, delivered or given in connection therewith, in each case whether on account of principal, interest, reimbursement obligations, fees, indemnities, costs, expenses or otherwise (including, without limitation, all fees and disbursements of counsel to the relevant Lender, affiliate thereof or any other counterparty to such Specified Hedge Agreement that are required to be paid by such Guarantor pursuant to the terms of any Specified Hedge Agreement); provided, that (i) obligations of the Borrower or any Subsidiary under any Specified Hedge Agreement shall be secured and guaranteed pursuant to the Security Documents only to the extent that, and for so long as, the other Obligations are so secured and guaranteed, (ii) any release of Collateral or Subsidiary Guarantors effected in the manner permitted by the Credit Agreement shall not require the consent of holders of obligations under Specified Hedge Agreements and (iii) the Administrative Agent shall establish and maintain Reserves in respect of Specified Hedge Agreements in accordance with the procedures set forth in Section 2.3(e) of the Credit Agreement.
