Guarantor Early Redemption Event definition

Guarantor Early Redemption Event means the Guarantor ceases to be rated Investment Grade by at least two Rating Agencies on any date during the period (the “Change of Control Period”) commencing 60 days prior to the Guarantor’s first public announcement of any Guarantor Change of Control (or pending Guar- antor Change of Control) and ending 60 days following consummation of such Guarantor Change of Control (which Change of Control Period will be extended following consummation of a Guarantor Change of Control for so long as any of the Rating Agencies has publicly an- nounced that it is considering a possible ratings change). Unless at least two Rating Agencies are providing a rating for the Guarantor at the commencement of any Change of Control Peri- od, the Guarantor will be deemed to have ceased to be rated Investment Grade by at least two Rating Agencies during that Change of Control Period. No Early Redemption Event will be deemed to have occurred in connection with any particular Guarantor Change of Control unless and until such Guarantor Change of Control has actually been consummated.

  • Automatic Early Redemption Event means that:

  • Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).

  • Automatic Early Redemption Date means each Automatic Early Redemption Date specified in the relevant Final Terms.

  • Automatic Early Redemption Amount means the Automatic Early Redemption Amount specified in the relevant Final Terms.

  • Postponed Early Redemption Date means the tenth Business Day following the Early Redemption Date (if any);

  • Monthly Redemption Date means the 1st of each month, commencing immediately upon the nine month anniversary of the Original Issue Date and terminating upon the full redemption of this Debenture.

  • Maturity Redemption Payment means an amount per Deposit to which you are entitled on the Maturity Date based on the performance of the Reference Portfolio which is equal to your Principal Amount x (1 + Variable Return).

  • Mandatory Redemption Event has the meaning given to it in Condition 8.7.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Redemption Event has the meaning set forth in Section 3.4.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Early Redemption Level (k) means the Early Redemption Factor (k) x R (initial).

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Monthly Redemption means the redemption of this Debenture pursuant to Section 6(b) hereof.

  • Early Redemption Notice means an irrevocable notice from the Issuer to Noteholders in accordance with Condition 23 (Notices) (or, in the case of Condition 8(f) (Redemption Following the Occurrence of an Event of Default), from the Trustee to the Issuer) that specifies that the Notes are to be redeemed pursuant to one of Conditions 8(c) (Redemption Following a Collateral Event) to 8(f) (Redemption Following the Occurrence of an Event of Default). An Early Redemption Notice given pursuant to Condition 8 (Redemption and Purchase) must contain a description in reasonable detail of the facts relevant to the determination that the Notes are to be redeemed and, in the case of an Early Redemption Notice given by the Issuer, must specify the anticipated Early Redemption Date and which of Conditions 8(c) (Redemption Following aCollateral Event) to 8(f) (Redemption Following the Occurrence of an Event of Default), as the case may be, are applicable. A copy of any Early Redemption Notice shall also be sent by the Issuer, or the Trustee, as the case may be, to all Transaction Parties, save that any failure to deliver a copy shall not invalidate the relevant Early Redemption Notice.

  • Early Preference Share Redemption Event means the event that occurs if:

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Optional Redemption Amount means the sum of (i) 100% of the principal amount of the Debenture then outstanding, (ii) accrued but unpaid interest and (iii) all liquidated damages and other amounts due in respect of the Debenture.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.
