System User agrees that the counterparty to any GUA or e - A gree ment may directly enforce System User’s obligations under such GUA or e- Agreement against System User.
In the event that the Poinciana System exceeds the guarantee amounts set forth in subsection (2) above for any identified fiscal year, then the GUA shall deposit in the Poinciana System escrow an amount of cash equal to the lesser of (i) such surplus billed revenues actually received by the GUA or (ii) the net amount previously withdrawn or drawn by the GUA as a result of the failure of the Poinciana System to meet the applicable guarantee amount during preceding fiscal years.
It is important to note that the GUA will continue to develop to support the implementation of further London market reforms and/or changes in London market practices.
System User represents and warrants that the Service will only be used for lawful purposes including, without limitation, any laws, regulations or rules that would govern the use of the Service and/or the GUA or e-Agreement.
