GSK Confidential Information definition

GSK Confidential Information means GSK Data that (a) is marked or otherwise identified as “confidential” or with a similar designation, or (b) even if it is not marked or identified as “confidential,” a reasonable person would recognize as information that ought to be treated as confidential information, including information relating to the trade secrets such as know-how, formulae and processes, scientific research, clinical development, or business affairs of GSK; GSK Personal Information; all project and computer-related technical matters, including design/performance specifications, operating procedures, systems documentation, utility reference manuals, language reference manuals, third party software and documentation, financial information, inventions, contractual information (including pending deals), customer information such as patient and supplier lists, prices and costs, data related to regulatory submissions, and any other relevant information furnished to Supplier and Supplier Personnel by or on behalf of GSK under the Agreement. GSK Confidential Information shall not include: (i) information which at the time of disclosure or discovery is in the public domain; (ii) information which, after disclosure, becomes part of the public domain by publication or otherwise, except by breach of the Agreement; (iii) information which Supplier can establish by reasonable proof was in its possession at the time of disclosure by GSK and was not acquired, directly or indirectly, from GSK; or (iv) information which Supplier receives from a third party, provided, however, that such information was not obtained by said third party, directly or indirectly, from GSK and that said party has a right to disclose it. 2.6 GSK Data.
GSK Confidential Information means Confidential Information relating to or disclosed by GSK or its Affiliates and includes GSK Data and GSK Personal Information.
GSK Confidential Information means any and all information that is disclosed on or after the Effective Date by GSK or any of its Affiliates to Sirtris relating to targets for therapeutic applications in multiple categories, including but not limited to, neurology, neurodegenerative disease/movement disorders, metabolism, cardiovascular and ophthalmology.

  • All GSK Confidential Information is and shall remain the property of GSK.

  • Access to GSK Confidential Information (whether remote or otherwise); must have been the subject of pre-engagement screening in accordance with Clause 20.5 and Schedule 1 of the GSK Standard Terms and Conditions as updated and/or revised by Appendix A (Pre-Engagement Screening).

  • In the event GSK objects to the disclosure in writing within such [***] period, OncoMed agrees not to submit the publication or abstract or make the presentation containing the objected-to information until the Parties have agreed to the content of the proposed disclosure, and OncoMed shall delete from the proposed disclosure any GSK Confidential Information upon the reasonable request of GSK.

  • In no event will Supplier use less than the degree of care and means that it uses to protect its own information of like kind, but in any event not less than reasonable care to prevent the unauthorized use of GSK Confidential Information.

  • GSK will not have rights to any works conceived or reduced to practice by Supplier which were developed entirely on Supplier's own time without using equipment, supplies, facilities, or trade secret or GSK Confidential Information, unless (i) such works relate to GSK's business, or GSK's actual or demonstrably anticipated research or development, or (ii) such works result from any Services performed by Supplier for GSK.


More Definitions of GSK Confidential Information

GSK Confidential Information will have the meaning set forth in Section 11.1.
GSK Confidential Information means all confidential business and technical communications, documents and other information, whether in written, oral or other form, which GSK or a GSK Affiliate furnishes or discloses to Prometheus or which Prometheus otherwise learns in connection with the negotiation or performance of this Agreement (whether relating to GSK, a GSK Affiliate or any Third Party for which GSK has an obligation of confidentiality). Prometheus agrees that the provisions of this Agreement shall apply to all GSK Confidential Information disclosed by GSK or a GSK Affiliate to Prometheus or learned by Prometheus prior to the Effective Date. Prometheus represents and warrants that prior to the Effective Date, it has not used or disclosed to any Third Party any GSK Confidential Information, except as would be permitted hereunder.
GSK Confidential Information means Confidential Information owned by GSK and/or its Affiliates or otherwise designated as GSK Confidential Information hereunder but shall not include Joint Confidential Information.
GSK Confidential Information means all information (including, without limitation, Study Protocols, case report forms, clinical data, other data, reports, specifications, computer programs or models and related documentation, know-how, trade secrets, including, without limitation, any technologies and know-how pertaining to GSK Assay(s) or business or research plans) of GSK or GSK’s Affiliates that are: (1) provided to RGI or RGI’s Affiliates in connection with this Master Agreement or a Task Order, or in connection with a request for proposals, proposals, or otherwise related to a project which potentially could be the subject of a Task Order, whether or not a Task Order is ever executed; or (2) created or developed by RGI, RGI’s Affiliates or a Third Party associated with RGI (including, without limitation, RGI’s employees, agents, or subcontractors), or by Study Investigators and staff, in connection with this Master Agreement or a Task Order. This Master Agreement and the terms and conditions herein shall be considered to be GSK Confidential Information.

Draxis represents and warrants that prior to the Effective Date, it has not used or disclosed to any Third Party any GSK Confidential Information, except as would be permitted hereunder.

GSK Confidential Information shall not include: (i) information which at the time of disclosure or discovery is in the public domain; (ii) information which, after disclosure, becomes part of the public domain by publication or otherwise, except by breach of the Agreement; (iii) information which Company can establish by reasonable proof was in its possession at the time of disclosure by GSK and was not acquired, directly or indirectly, from GSK; or (iv) information which Company receives from a third party, directly or indirectly, from GSK and that said party has a right to disclose it.
GSK Confidential Information means all information (including, without limitation, study protocols, case report forms, clinical data, other data, reports, specifications, computer programs or models and related documentation, know-how, trade secrets, or business or research plans) of GSK or GSK’s Affiliates that are: (1) provided to Institution in connection with this Master Agreement, a Study Specific Agreement (as defined below), or a Study, or in connection with a planned Study which potentially could be the subject of a Study Specific Agreement, even without an executed Study Specific Agreement; (2) and subject to Institution’s publication rights under Section 8 below, Study data, results, or reports created by Institution, Investigators (as defined below), or Study Staff (as defined below) in connection with the Study (except for a Study subject’s medical records); and (3) cumulative Study data, results, and reports from all sites conducting the Study.
