ESP means the Company’s Executive Savings Plan.
RRSP means a registered retirement savings plan as defined in the Income Tax Act (Canada);
DPSP means a deferred profit sharing plan within the meaning of the Tax Act;
RSP means Rail Settlement Plan Limited;
SPP Has the meaning stated in the preamble of this Agreement.
EDSP means the Exchange Delivery Settlement Price and has the meaning attributed to it in Rule PPPP.5.
Named Executive means any individual who, on the last day of the Company’s fiscal year, is the chief executive officer of the Company (or is acting in such capacity) or among the four most highly compensated officers of the Company (other than the chief executive officer). Such officer status shall be determined pursuant to the executive compensation disclosure rules under the Exchange Act.
PICB means Performance Improvement and Compliance Branch of the Ministry, or any other branch or organizational unit of the Ministry that may succeed or replace it.
Flexi Plan means any individual indemnity hospital insurance plan under the VHIS framework with enhancement(s) to any or all of the protections or terms and benefits that the Standard Plan provides to the Policy Holder and the Insured Person, subject to certification by the Government. Such plan shall not contain terms and benefits which are less favourable than those in the Standard Plan, save for the exception as may be approved by the Government from time to time.
Current Participant means a Class Member who has an Active Account in one or both the Plans as of August 5, 2020.
Plan Participant means a person who is eligible to receive, and is receiving, a pension benefit from the Plan.
existing employee means an employee who elected to participate in the Virginia Sickness and
Participating employee means an employee whose election to participate in a Plan has been approved by the employer.
SRP shall have the meaning set forth in Section 6.1 hereof.
Pharmacy benefits management means the administration or management of prescription drug
CSR means Corporate Social Responsibility.
Ongoing employee means an employee who has been employed for at least one complete standard measurement period.
Key Executives means Xxxxx Xxxxxxx and Xxxxxxx Xxxxxxxxx, jointly and severally.
Covered Executives means the Company’s current and former executive officers, as determined by the Administrator in accordance with the definition of executive officer set forth in Rule 10D-1 and the Listing Standards.
Covered Executive means any “executive officer” of the Company as defined under Rule 10D-1.
EDS means Electronic Data Systems Corporation, a Delaware corporation, all its direct and indirect subsidiaries, all its affiliated entities, and all its successors and assigns, and the employees, agents, attorneys, officers and directors of each of them.
Eligible Executive means an employee of the Company selected as being eligible to participate in this Plan under Section C.1.a.
Award Recipient means the person, entity or entities that are to receive or have received grant funds through an award from the Illinois State Board of Education. The terms "grantee" and "award recipient" may be used interchangeably.
DCP means disclosure controls and procedures;
Employing Company means the Company and any affiliate or subsidiary of The Southern Company which the Board of Directors may from time to time determine to bring under the Plan and which shall adopt the Plan, and any successor of them. The Employing Companies are set forth on Appendix A to the Plan as updated from time to time. No such entity shall be treated as an Employing Company prior to the date it adopts the Plan.
Pharmacy benefits manager means a person that performs pharmacy benefits management.
