Growth CapEx definition

Growth CapEx for any given Fiscal Year, the aggregate capital expenditures for property, plant, equipment and other fixed assets that the Corporation must reasonably but minimally make, as determined in good faith by the Board of Directors in advance of each then upcoming Fiscal Year, in order to continue to develop the Corporation’s reasonably targeted long-term revenue growth and competitive position.
Growth CapEx means those items outlined on Section 5.1 of the Company Disclosure Letter.
Growth CapEx for any period, the Capital Expenditures made by Holdings or any Subsidiary that have not been made for the purpose of replacing, maintaining, repairing or upgrading existing Mines or to improve business efficiencies.

More Definitions of Growth CapEx

Growth CapEx means, for any period, the Capital Expenditures made by the Group Members that have not been made for the purpose of tenant improvements, leasing commissions or replacing, maintaining, repairing, or upgrading existing properties.
Growth CapEx means Capital Expenditures the proceeds of which shall be used for the acquisition or construction of vessels.
Growth CapEx means, with respect to any Person for any period, Capital Expenditures made in connection with revenue growth opportunities and cost savings initiatives for Borrowers and their Subsidiaries (other than Foreign Subsidiaries), including those Capital Expenditures made in connection with (i) the acquisition of new Aircraft, (ii) the construction of Aircraft, (iii) establishing operational facilities in a location outside of the continental United States, (iv) new MRO and manufacturing contracts and (v) engineering projects to improve Aircraft performance and create new sales opportunities. For the purposes of determining compliance with Section 7(b) of the Agreement solely for the fiscal year ending December 31, 2013, Growth CapEx shall be calculated as Growth CapEx for the trailing three calendar quarters ending December 31, 2013 times 4/3.

  • Scan increment means the amount of relative displacement of the patient with respect to the CT x-ray system between successive scans measured along the direction of such displacement.

  • Incremental Loan has the meaning set forth in Section 2.14(b).

  • Tranche C means the credit facility provided pursuant to Section 2.1 to or for the benefit of the Company by the Banks with a Tranche C Commitment, which such facility shall consist of Loans (and participations in Swingline Loans) in the currencies referenced under the heading “Tranche C” on Schedule 1.1 and shall be in the maximum aggregate amount of the Tranche C Commitments of such Banks, as adjusted from time to time pursuant to the terms hereof.

  • Term Loan Increase has the meaning set forth in Section 2.14(a).

  • Incremental Available Transfer Capability Revenue Rights means the rights to revenues that are derived from incremental Available Transfer Capability created by the addition of Merchant Transmission Facilities or of one of more Customer-Funded Upgrades.

  • Term Loan Amount means with respect to any Term Loan Lender, the amount equal to its Term Loan Percentage of the aggregate principal amount outstanding under the Term Loan.

  • Final Payment Percentage is five percent (5.00%).

  • Net advance amount means the gross advance amount less the aggregate amount of the actual and estimated transfer expenses required to be disclosed under section 3(e).

  • Final Availability Date means the earlier of the Revolving Termination Date and one (1) Business Day prior to the date specified in clause (a) of the definition of Revolving Termination Date.
