GroupMAC definition

GroupMAC means GroupMAC as hereinbefore defined and any successor to its business and/or assets as aforesaid which assumes and agrees to perform this Agreement by operation of law, written agreement or otherwise.

GroupMAC or the "Company") Dear Xx. Xxxx: As you know, the Company is contemplating a merger with Building One Services Corporation (the "Proposed Transaction"). The Proposed Transaction holds exciting possibilities for the future of the Company and the Company wants your to be a part of that future. The purposes of this letter are to indicate to you that GroupMAC would very much like you to continue your employment with the Company after the Proposed Transaction is consummated and to request certain modifications to and waivers of the terms of your existing Employment Agreement. The requested modifications and waivers are set forth below:

  • Broadridge means Broadridge Financial Solutions, Inc.;

  • Group the Company and its subsidiaries

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Sprint means a set period of time during which specific work is realized and made ready for review.

  • PMI means the default insurance provided by private mortgage insurance companies.

  • Group Link means a situation in which two or more undertakings or entities belong to the same group within the meaning of Article 2(11) of Directive 2013/34/EU or international accounting standards adopted in accordance with Regulation (EC) No. 1606/2002.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • SNAP means the federal supplemental nutrition assistance program. SNAP was previously known as the food stamp program.

  • ATS means an alternative trading system, as defined in Rule 300(a)(1) of Regulation ATS under the Exchange Act.

  • CME means CME Group Benchmark Administration Limited.

  • financial service provider means a person engaged in the business of providing financial services in terms of authorisation issued or registration granted by a financial sector regulator;

  • Nonpoint source means any source of pollutants other than those defined or designated as point sources.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • aepaccmeצc means the department of public health.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Group health plan means an employee welfare benefit plan as defined in section 3(1) of subtitle A of title I of the employee retirement income security act of 1974, Public Law 93-406, 29 USC 1002, to the extent that the plan provides medical care, including items and services paid for as medical care to employees or their dependents as defined under the terms of the plan directly or through insurance, reimbursement, or otherwise.

  • PFI means the proprietary financial information as defined in RCW 43.371.010(12).

  • Corporate Group means the Corporation and its Subsidiaries treated as a single consolidated entity.

  • CSC means the Civil Service Commission of the City and County of San Francisco.

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • AIG means American International Group, Inc.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • PCI means payment card information including any data related to credit card holders’ names, credit card numbers, or the other credit card information as may be protected by state or federal law.

  • AFS means Airport Fire Service;
