Salaries paid to employees or words of similar import means salaries and amounts actually paid (excluding payments or factors for holidays, vacations, sick time, bonuses, profit participations and other similar payments) to architects, engineers, designers, drafters or other professional and technical employees of the Consultant for time actually spent directly in the performance of technical services hereunder and recorded on daily time records which have been approved by the employee's immediate supervisor, excluding the time of any employee of the Consultant to the extent that the time of such employee of the Consultant is devoted to typing/word processing, stenographic, clerical or administrative functions. Such functions shall be deemed to be included in the multiplier referred to in Subparagraph A above.
Designated Employees means a person occupying any of the following position in the Company:

Business Employees has the meaning set forth in Section 4.10(a).
Individuals means the person(s) who is the subject of PHI and includes a person who qualifies as a personal representative in accordance with 45 CFR 164.502(g).
Excluded Employees has the meaning set forth in Section 2.5(a)(iv).
Key Individuals means the Service Provider Representatives identified as being key individuals for the provision of the Services as set out in Schedule 5.5.

Academic employee Academic employee shall mean an employee in the Professional Services Negotiating Unit with academic or qualified academic rank.
Business Employee means any Person who is a present or former employee of Seller at any time prior to or on the Closing Date, and who provided or previously provided any services relating to the Business.
Eligible Individuals means directors, officers, employees and consultants of the Company or any of its Subsidiaries or Affiliates, and prospective employees and consultants who have accepted offers of employment or consultancy from the Company or its Subsidiaries or Affiliates.
Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.
Participating Countries means, collectively, all such countries.”
Current Employees has the meaning set forth in Section 6.4(a).
Employment Business means as per the Employment Agencies Xxx 0000 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003, an Employment Business is a business that offers contracts of employment to temporary workers, whose services are then temporarily offered on secondment to Framework Public Bodies.
Resident individual means any natural person who is domiciled in this state at any time during the taxable year or who resides in this state during the taxable year for other than a temporary or transitory purpose. In the absence of convincing proof to the contrary, an individual other than a member of the armed forces of the United States, who is present in this state for more than one hundred eighty-three (183) days during the taxable year, is presumed to be a resident, but the absence of an individual from this state for more than one hundred eighty- three (183) days raises no presumption that the individual is not a resident. A resident who removes from the state during a taxable year is considered a resident until such resident has both established a definite domicile elsewhere and abandoned any domicile in this state;
Employing Company means the Company and any affiliate or subsidiary of The Southern Company which the Board of Directors may from time to time determine to bring under the Plan and which shall adopt the Plan, and any successor of them. The Employing Companies are set forth on Appendix A to the Plan as updated from time to time. No such entity shall be treated as an Employing Company prior to the date it adopts the Plan.
Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.
Subject individual means any individual 16 years of age or older on whom the Department may conduct a background check as defined in OAR 407-007-0210 and from whom the Department may require fingerprints for the purpose of conducting a national background check.
Company Employees shall have the meaning set forth in Section 6.10(a).
Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.
Educational personnel means persons who must meet requirements pursuant to state law as a condition of employment in educational programs.
Transferred Employees has the meaning set forth in Section 6.4(a).
Participating Company means the Company or any Parent Corporation or Subsidiary Corporation.
Named Executive Officers or “NEOs” means the following individuals:
Returning Employees means those persons listed in a schedule to be agreed by the Parties prior to the end of the Contract Period who it is agreed were employed by the Contractor (and/or any Sub-Contractor) wholly or mainly in the supply of the Services immediately before the end of the Contract Period.
