Group Confidential Information definition

Group Confidential Information shall have the meaning referenced in Section 8.6(b).

Group Confidential Information means all information not publicly known, used in or otherwise relating to any Group Member’s business, customers, plans, prospects or financial or other affairs, including information relating to:

Group Confidential Information means all information that relates to the Acquired Assets or the Assumed Liabilities, other than any such information that (i) is available to the public on the Closing Date, or thereafter becomes available to the public other than as a result of a breach of this Section 8.6; (ii) is disclosed by Buyer to a Third Party without an obligation of confidence; (iii) can be shown by Seller to have been developed by it completely independently of the Group; or (iv) can be shown by Seller to have been rightfully received completely independently from a third party without any obligation of confidence.

More Definitions of Group Confidential Information

Group Confidential Information means all and any information which would reasonably be regarded as confidential and which relates to the business, trading or financial or other affairs of any Group Company (including information relating to the products or services, processes and operations of any Group Company, its customer, client and supplier lists, price lists, contractual arrangements, market opportunities, plans and intentions, developments, data, results, inventions (whether patentable or not), know how (including manufacturing processes and product recipes), show how, trade secrets, forecasts, analyses, evaluations, research methodologies, technical or business information, personnel and other matters concerning the business, trading or financial or other affairs of, or relating to any Group Company or its customers, clients or other persons having dealings with it), whether such information is oral, in writing, electronic or other form, whether tangible or otherwise or marked in writing as “confidential”, and all and any information which has been or may be derived or obtained from any such information;

Group Confidential Information means any trade or business information (including formulae, processes, methods, knowledge and Know-how) directly connected with the maintenance and supply of any Restricted Products by any Group Company and which is for the time being confidential to any Group Company KNOW-HOW means all industrial and commercial information and techniques, instruction manuals, operating conditions and procedures, information as to suppliers and customers and all other accounts, records and information (wherever situated) relating directly to the activities of any Group Company

Group Confidential Information shall not include any information that at the time of disclosure or thereafter is generally available to and known by the public (other than as a result of a disclosure directly or indirectly by the Party relying on this exception or any of its Representatives).

Group Confidential Information has the meaning set out in Clause 13.2.2;

Group Confidential Information means any information held in any form or medium whatsoever received or obtained by a party or its Representatives in respect of any member of the Company Group, including all past, current and prospective financial, accounting, software, trading, marketing, technical and business information (including marketing and business strategies and methods of operation), trade secrets, know-how, products, prices, costs and details of contractual arrangements with employees, competitors, customers or suppliers or other specialised information or proprietary matters and in each case includes any information derived or generated from that information, such as analyses, studies and compilations. Group Last Accounts mean the audited annual financial statements (including the income statement and the balance sheet) of Rhino-Rack Australia Pty Ltd ACN 122 680 639 and the Company as at the Last Accounts Date. GST has the meaning given in the GST Act.
