Granite Perfected Dissenting Shares definition

Granite Perfected Dissenting Shares means Granite Dissenting Shares which the holders thereof have not withdrawn or caused to lose their status as Granite Dissenting Shares.

  • Dissenter means a shareholder who, being entitled to do so, sends written notice of dissent when and as required by section 242;

  • Appraisal Shares has the meaning set forth in Section 4.2(h).

  • CGCL means the California General Corporation Law.

  • Excluded Shares means the (a) Common Shares owned by Parent, Merger Sub or any other Wholly Owned Subsidiary of Parent, the Company or any Wholly Owned Subsidiary of the Company, and in each case not held on behalf of third parties, and (b) Dissenting Shares.

  • Cancelled Shares has the meaning set forth in Section 3.1(a).

  • Company Shares means the common shares in the capital of the Company;

  • Subordinate Voting Shares means the subordinate voting shares in the capital of the Corporation;

  • MBCA means the Minnesota Business Corporation Act.

  • TBCA means the Texas Business Corporation Act.

  • Special Voting Share means, in relation to the Corporation, the Carnival Special Voting Share and, in relation to P&O Princess, the P&O Princess Special Voting Share.

  • Parent Class B Common Stock means the Class B Common Stock, par value $0.01 per share, of Parent.

  • Non-Voting Shares means a particular Class of Shares that do not carry the right to notice of or to attend or vote at general meetings of the Company or the relevant Fund.

  • Per Share Merger Consideration has the meaning set forth in Section 3.1(a).

  • Company Class B Common Stock means the Class B common stock, par value $0.01 per share, of the Company.

  • Total Merger Consideration has the meaning set forth in Section 2.2(a).
