Going Private Redemption Event means the occurrence of a Going Private/Rule 13e-3 Transaction and a Below Investment Grade Rating Event.

  • The notice shall, if mailed prior to the date of consummation of the Going Private/Rule 13e-3 Transaction, state that the redemption is conditioned on the Going Private Redemption Event occurring on or prior to the Redemption Date specified in the notice.
