G&N Committee definition

G&N Committee means the Governance and Nominating Committee of the Board, as from time to time constituted, or any successor committee of the Board with similar functions, or its designee.
G&N Committee means the governance and nominating committee of the Board of Directors; “HR Committee” means the human resources committee of the Board of Directors; “Hugessen Consulting” means Hugessen Consulting Inc.;

Examples of G&N Committee in a sentence

  • The G&N Committee shall have the exclusive authority to administer this Plan for Outside Directors.

  • The determination by the G&N Committee of any question involving Disability of an Outside Director shall be conclusive and binding.

  • In identifying new candidates for nomination to the Board, the GN Committee, with the assistance of the Board members, defines the particular attributes required of each new director, after considering the strategic plans of the Corporation and the competencies and skills of the existing directors.

  • In the event of termination for any reason other than those set forth above, any Option held by such Outside Director may thereafter be exercised by the Outside Director to the extent it was vested and exercisable at the time of termination (i) for a period of one year from the date of such termination or (ii) until the expiration of the stated term of such Option, whichever period is the shorter, unless otherwise determined by the G&N Committee.

  • The Board recruits new directors on an “as-needed” basis and it is the responsibility of the GN Committee to identify, evaluate and recommend nominees to the Board.

  • Unless otherwise determined and directed by the G&N Committee, in the case of voluntary resignation or other termination of service of an Outside Director prior to the occurrence of any of the events described in the preceding sentence, any Restricted Stock Award made pursuant to this subsection will be forfeited by such Outside Director.

  • The Chair of the Committee (the “Chair”) shall be selected by the Board on the recommendation of the GN Committee and the Chair of the Board.

  • To the extent that the Board has reserved any such authority or responsibility or during any time that the Board is acting as administrator of the Plan, it shall have all the powers of the Committee hereunder, and any reference herein to the P&C Committee, the G&N Committee or the Committee (other than in this paragraph) shall include the Board.

  • Other members of the G&N Committee $7,000 per annum, paid quarterly Directors are entitled to be reimbursed for their reasonable expenses incurred in connection with attendance at Board and committee meetings during their tenure as a Director.

  • Selection Committee means a committee of individual(s) who evaluate and rank proposals; conduct negotiations; and makes a contract award recommendation to the District and its respective Committees.

  • Transition Committee shall have the meaning set forth in Section 2.14.

  • Board Committee means those individual Directors who have been appointed by the Board of Directors with the powers and responsibilities specified in Article V and to which has been delegated any fiduciary responsibilities of the Board of Directors with respect to the Plan.

  • Plan Committee means a committee of two or more directors appointed by the Board to administer the Plan.

  • CSR Committee means the Corporate Social Responsibility Committee of the Board referred to in section 135 of the Act.

  • Personal campaign committee means the committee appointed by a candidate to act for the candidate as provided in this chapter.

  • Banning Committee means a Committee constituted for the purpose of these guidelines by the competent authority. The members of this Committee shall not, at any stage, be connected with the tendering process under reference.

  • OPSI Advisory Committee means the committee established under Tariff, Attachment M, section III.G.

  • Coordination Committee means the jointly constituted PJM and NYISO committee established to administer the terms and provisions of this Agreement pursuant to Section 35.3.2.
