GMACCH Employees definition

GMACCH Employees means all of the current employees employed by any GMACCH Company who actively perform services or employees of a GMACCH Company on long-term disability or on leave of absence (including employees who are absent solely by reason of vacation, regularly scheduled days off, jury duty, military leave or short-term disability) primarily or exclusively for, on behalf of, or at the request of the GMACCH Companies as of the Closing Date.

Examples of GMACCH Employees in a sentence

  • GMACCH Employees shall not accrue benefits under any Plan sponsored by Seller after the Closing Date.

  • For a period of at least one year following the Closing Date, the Company shall provide GMACCH Employees with employee benefits that are comparable in the aggregate to those in place under the Plans for GMACCH Employees immediately prior to the Closing Date.

  • Active Employees means all employees employed on the Closing Date by Seller for its business who are employed exclusively in Seller’s business as currently conducted, including employees on temporary leave of absence, including family medical leave, military leave, temporary disability or sick leave, but excluding employees on long-term disability leave.

  • Retained Employees has the meaning set forth in Section 6.1.1.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Current Employees has the meaning set forth in Section 6.4(a).

  • Key Employees means each of the following individuals: Xxx Xxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx Xxxxxxx.

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.

  • Union Employees has the meaning set forth in Section 6.12(a).

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Excluded Employees has the meaning set forth in Section 2.5(a)(iv).

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Protected Employees means employees of the Company who were employed by the Company at any time within six (6) months prior to the Determination Date.

  • Designated Employees means a person occupying any of the following position in the Company:

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Transferred Employee has the meaning set forth in Section 6.01(a).

  • Other Employees means, all the employees other than the Directors, KMPs and the Senior Management Personnel.

  • Servicer Employees As defined in Section 2.12.

  • Public employees retirement system means the retirement plan and program

  • Employees Stock Option” means the option given to the directors, officers or employees of a company or of its holding company or subsidiary company or companies, if any, which gives such directors, officers or employees, the benefit or right to purchase, or to subscribe for, the shares of the company at a future date at a pre-determined price.

  • Business Employee means any Person who is a present or former employee of Seller at any time prior to or on the Closing Date, and who provided or previously provided any services relating to the Business.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.
