GMACCH Companies definition

GMACCH Companies means the Company and its Subsidiaries; provided, however, that for purposes of Section 5.2(e), Section 5.2(f), Section 5.2(p), Section 5.2(r), Section 5.2(bb) and Section 5.2(cc), “GMACCH Companies” shall also include Sponsored Funds (and all Subadvised Funds and Company-Sponsored Investment Vehicles) (provided that representations and warranties regarding Subadvised Funds shall be made only to the knowledge of Parent and Seller) and provided further that for purposes of Sections 5.2(aa) and 5.2(bb) GMACCH Companies shall include HGCA.

Examples of GMACCH Companies in a sentence

  • The GMACCH Companies have in full force and effect, with all premiums due thereon paid, the policies of insurance set forth therein.

  • Investor, on the one hand, and Parent and Seller, on the other hand, shall cooperate with each other and shall cause their respective officers, employees, agents and representatives to cooperate with each other for a period of sixty days after the Closing to provide for an orderly transition of the GMACCH Companies to Investor and to minimize the disruption to the respective businesses of the Parties hereto resulting from the transactions contemplated hereby.

  • Parent and the Company jointly shall represent the interests of the GMACCH Companies in any Legal Proceeding relating to any Straddle Period for which each party may have Tax Liability.

  • Investor or the Company shall include with such notification a true, correct and complete copy of any written communications, and an accurate and complete written summary of any oral communications, so received by any of the GMACCH Companies.

  • During the period of preparation of the Anticipated December Financial Data, Seller shall cause the GMACCH Companies to provide Investor and its authorized representatives with full access during normal business hours to all relevant books, records, workpapers, facilities and employees of the GMACCH Companies.

  • All such Tax Returns to the extent related to the GMACCH Companies shall be prepared and filed in a manner consistent with prior practice, except as required by a change in applicable law.

  • The Company shall, and shall cause each of the GMACCH Companies to, execute such documents and take such actions as shall be reasonably requested by Parent to cause each of the GMACCH Companies designated by Parent to be included in any Combined Return (whether it relates to a Pre Closing Taxable Period or a Straddle Period).

  • Parent and Seller shall promptly forward or cause to be forwarded to a GMACCH Company any and all proceeds from accounts receivable of the GMACCH Companies existing on the Closing Date that are received by Seller or its Affiliates after the Closing Date.

  • The Investor, Seller and the Company shall cooperate in good faith to permit an investment by the members of management of the GMACCH Companies as contemplated by Section 4.1(e) in the form of a direct purchase of newly issued Common Stock from the Company at the Closing.

Related to GMACCH Companies

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Group Companies means the Company and its Subsidiaries.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Company Entities means the Company and the Company Subsidiaries.

  • Business of the Company means the following areas of its business which are selected below, which Employee acknowledges are areas of the Company’s business in which Employee has responsibilities: (check as applicable)

  • Founding Companies has the meaning set forth in the third recital of this Agreement.

  • Released Entities means released entities as such term is defined

  • Related Companies means the companies within the meaning of Article L. 225-197-2 of the French Commercial Code or any provision substituted for same.

  • PRC Companies means, collectively, all entities listed in Appendix A hereof, and each, a “PRC Company”.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Portfolio Companies means any Person in which any Fund owns or has made, directly or indirectly, an investment.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Companies means Borrower and its Subsidiaries; and “Company” shall mean any one of them.

  • Target Companies means the Company and its Subsidiaries.

  • PRC Subsidiaries means all Company Subsidiaries organized under the Laws of the PRC.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Dte. GHS means Directorate General and Health Services, MOH&FW.

  • Joint Venture Company means any Subsidiary of the Company or any other Person of which 50% or less than 50% of the outstanding Voting Stock or participation is held by the Company or its Subsidiaries, whose Equity Interest is held directly or indirectly by the Company and one or more third parties that are not Affiliates of the Company for the purpose of directly or indirectly bidding new projects, including such Subsidiaries or Persons of the Company whose activities are governed by a joint venture agreement with one or more third parties that are not Affiliates of the Company.

  • Acquired Entities means the Company and the Company Subsidiaries.

  • Other Founding Companies means all of the Founding Companies other than the Company.

  • Organized criminal group means a structured group of three or more persons, existing for a period of time and acting in concert with the aim of committing one or more serious crimes or offences established in accordance with this Convention, in order to obtain, directly or indirectly, a financial or other material benefit;

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.
