  • Subject to strict compliance with the foregoing obligations, the applicable GHMA Competing Affiliate may pursue such GHMA Opportunity Asset independently regardless of whether the GHMA Participating LP continues its participation in the GHMA Opportunity with PKY/GP or any GHMA Parkway Party hereunder.

  • Except as provided for in Sections 8.6(g) and (h) below, each of the A/B Partners and the GHMA Participating LPs shall be responsible for its GHMA Opportunity Pro Rata Share of GHMA Opportunity Pursuit Costs incurred through the date on which it delivered its GHMA Parkway Stop Notice or GHMA LP Stop Notice, as applicable.

  • From and after the occurrence of a Default determined in accordance with the provisions of Section 15.4 by a Defaulting Partner, (a) the Defaulting Partner shall no longer have the right to approve or disapprove any Major Decisions; (b) if the Defaulting Partner is General Partner, such Defaulting Partner may be removed as General Partner in accordance with Section 6.14); and (c) if the Defaulting Partner is an Unaffiliated LP, such Partner shall no longer be a GHMA Eligible LP.

  • In considering a proposed use in PHMA or GHMA [or other applicable habitat categories], if the BLM determines that compensatory mitigation is appropriate to address adverse residual impacts to GRSG or its habitat, then the BLM will coordinate with the [State agency] to identify the appropriate compensatory mitigation to consider through the NEPA and other analysis it may prepare for the proposed activity.

  • Where appropriate and consistent with applicable law, the BLM will consider [name of State mitigation program] in making decisions on proposed uses in PHMA and GHMA [or other applicable habitat categories] that will result in GRSG habitat loss or degradation.

  • As appropriate and consistent with applicable law, the BLM will invite the [State agency] to be a cooperating agency in the NEPA process for projects in Priority Habitat Management Areas (PHMA) and General Habitat Management Areas (GHMA) [or other applicable habitat categories].

  • If a GHMA Participating LP delivers (or is deemed to have delivered) a GHMA LP No Go Response, then with respect to the applicable GHMA Opportunity (A) such Unaffiliated LP shall no longer be deemed to be a GHMA Participating LP and (B) the provisions of Section 8.7 shall apply.

  • Upon delivery of such a GHMA LP Stop Notice, the noticing Partner shall no longer be a GHMA Participating LP with respect to the applicable GHMA Opportunity.

  • If PKY/GP and the GHMA Participating LP(s), in their discretion, execute a cost sharing, pursuit or contribution agreement in connection with a GHMA Opportunity (a “GHMA Opportunity Future Joint Pursuit Agreement”) and the terms of such GHMA Opportunity Future Joint Pursuit Agreement are inconsistent with or modify the terms of this Article VIII, the terms of the GHMA Opportunity Future Joint Pursuit Agreement shall supersede the terms of this Article VIII.
