Germany Security means, collectively, (a) the guarantee agreement executed by X. Xxxxxxx GmbH in favor of the Agent and the Lenders, (b) the global security assignment agreement between X. Xxxxxxx GmbH and the Agent for the benefit of the Lenders, (c) the inventory security transfer agreement between X. Xxxxxxx GmbH, the Agent and Ableco Finance LLC, (d) the movable fixed assets security transfer agreement between X. Xxxxxxx GmbH, the Agent and Ableco Finance LLC, (e) the share pledge agreements to be executed by Spandex Limited and Gerber Scientific International, Inc. in favor of the Agent and the Lenders with respect to the shares of X. Xxxxxxx GmbH and Gerber Technology GmbH, (f) the account pledge agreement between X. Xxxxxxx GmbH, the Agent and the Lenders, in each case in form and substance acceptable to the Agent, and (g) any other security granted to the Agent or the Lenders as security for the obligations of X. Xxxxxxx GmbH in connection with the foregoing and the other Loan Documents.
Germany Security has the meaning assigned to such term in Section 5.18.
Germany Security shall have the meaning provided in Section 10.31. “German Security Provider” shall have the meaning provided in Section 10.32(c)(i).

In addition, the undersigned further agrees that, without the prior written consent of the Representative, during the Lock-Up Period the undersigned will not: (i) file or participate in the filing with the SEC of any registration statement or circulate or participate in the circulation of any preliminary or final prospectus or other disclosure document, in each case with respect to any proposed offering or sale of a Relevant Security, or (ii) exercise any rights the undersigned may have to require registration with the SEC of any proposed offering or sale of a Relevant Security. In furtherance of the undersigned’s obligations hereunder, the undersigned hereby authorizes the Company during the Lock-Up Period to cause any transfer agent for the Relevant Securities to decline to transfer, and to note stop transfer restrictions on the stock register and other records relating to, Relevant Securities for which the undersigned is the record owner and the transfer of which would be a violation of this Lock-Up Agreement and, in the case of Relevant Securities for which the undersigned is the beneficial but not the record owner, agrees that during the Lock-Up Period it will cause the record owner to cause the relevant transfer agent to decline to transfer, and to note stop transfer restrictions on the stock register and other records relating to, such Relevant Securities to the extent such transfer would be a violation of this Lock-Up Agreement. Notwithstanding the foregoing, the undersigned may transfer the undersigned’s Relevant Securities:

  • Disposal site means that portion of a land disposal facility that is used for disposal of waste. It consists of disposal units and a buffer zone.

  • Sweden means the Kingdom of Sweden and, when used in a geographical sense, includes the national territory, the territorial sea of Sweden as well as other maritime areas over which Sweden in accordance with international law exercises sovereign rights or jurisdiction;

  • Company Securities has the meaning set forth in Section 3.02(b)(ii).

  • ULC means any unlimited company, unlimited liability company or unlimited liability corporation or any similar entity existing under the laws of any province or territory of Canada and any successor to any such entity.

  • Purchase or Sale of a Security means obtaining or disposing of "Beneficial Ownership" of that Security and includes, among other things, the writing of an option to purchase or sell a Security.

  • Tender Security means the security required to be submitted by the Tenderer with its Tender Offer.

  • Offshore Global Note means a Global Note representing Notes issued and sold pursuant to Regulation S.
