GAS-sixteen Memorandum of Agreement means the agreement dated April 4, 2014 between Brazil Shipping II Ltd. and GAS-sixteen Ltd. related to the sale of the Methane Xxxx Xxxxxx.
Memorandum of Agreement means the agreement executed by and between FFA and the Institution in which these Conditions have been incorporated by reference;
Information Memorandum means the Confidential Information Memorandum dated March, 2011 relating to the Borrower and the Transactions.
Consent Solicitation Memorandum means the consent solicitation memorandum dated 20 October 2021 prepared by the Issuer in relation to the Consent Solicitation;
Amendment and Restatement Agreement means the Amendment and Restatement Agreement, dated as of January 29, 2016, among the Borrowers, the Lenders party thereto and the Administrative Agent.
Formation Agreement has the meaning attributed to it in Recital A;
the first supplementary agreement means the agreement of which a copy is set out in the Second Schedule;
the Second Supplementary Agreement means the Second Supplementary Agreement, a copy of which is set out in Schedule 3;
Confidential Information Memorandum means the Confidential Information Memorandum of the Borrower dated December 2010 delivered to the Lenders in connection with this Agreement.
Memorandum of Association means the memorandum of association of the Company, as amended or substituted from time to time;
Procedures Memorandum means the Operating and Administrative Procedures Memorandum as amended or varied from time to time (in respect of any Tranche) by agreement between the Issuer and the relevant Dealer or Lead Manager with the approval in writing of the Agent;
Restructuring Transactions Memorandum means a document, to be included in the Plan Supplement, that sets forth the material components of the Restructuring Transactions and a description of the steps to be carried out to effectuate the Restructuring Transactions in accordance with the Plan, including the reorganization of the Debtors and issuance of the New Valaris Equity, through the Chapter 11 Cases, the Plan, or any Implementation Mechanism (including, in the United Kingdom, through the Administration).
Memorandum of Understanding means that certain predecessor agreement between the Parties to develop this Joint Operating Agreement dated February 27, 2004.
Articles of Agreement means the Articles of Agreement of the Bank.
Funds Flow Memorandum means the flow of funds memorandum in the agreed form prepared on behalf of the Company by Xxxxxx Xxxxxxxx containing details of the flow of funds at Closing.
Delivery Agreement means the agreement between the Client and the Courier for the delivery of the Order, concluded through the Bolt Food Platform.
Charter Agreement means an agreement made in accordance with Section 53G-5-303 that authorizes the operation of a charter school.
Joint Venture Agreement means, for any Joint Venture, any stockholder agreement, voting trust agreement, limited liability agreement, partnership agreement, limited partnership agreement, operating agreement or other similar agreement related to the ownership of the Equity Interests of such Joint Venture having ordinary voting power for the election of directors or other governing body of such Joint Venture among the owners of such Equity Interests.
Implementation Agreement means the Implementation Agreement dated ……… by and between the GOB, PGCB and the Company in connection with the Project, and also includes any amendment of it made from time to time;
Operating Agreement means this Operating Agreement as originally executed and as amended from time to time.
Restatement Agreement means the Restatement Agreement to the Existing Credit Agreement dated as of June 30, 2017 by and among each of the Loan Parties party thereto, the Administrative Agent and the Lenders party thereto.
SWS wage assessment agreement means the document in the form required by the Department of Education, Employment and Workplace Relations that records the employee’s productive capacity and agreed wage rate
Construction Agreement means the proposed building agreement between the Company and a proposed builder substantially in the form of the draft agreement a copy of which has been signed on behalf of the Authority and the Company for the purposes of identification;
Supplementary Agreement means the agreement of which a copy is set out in the Seventh Schedule;
Variation Agreement means the agreement a copy of which is set out in Schedule 2;
the Second Variation Agreement means the agreement a copy of which is set forth in the Third Schedule;
Transaction Agreement has the meaning set forth in the recitals.
