Gaming Assets definition

Gaming Assets. As defined in Section 36.1.
Gaming Assets shall have the meaning set forth in the Gaming Sublease.
Gaming Assets means Gaming Devices and other operating equipment, gaming inventories and supplies necessary for the conduct of Gaming Activities at the Casino.

  • If Tenant and a potential Successor Tenant designated by Landlord cannot agree on the Gaming Assets FMV within a reasonable time not to exceed thirty (30) days after receipt of an End of Term Gaming Asset Transfer Notice hereunder, then such Gaming Assets FMV shall be determined, and ▇▇▇▇▇▇’s transfer of Tenant’s Property to a Successor Tenant in consideration for a payment in such amount shall be determined and transferred, in accordance with the provisions of Section 36.2.

  • Notwithstanding anything in the contrary in this Article XXXVI, the transfer of the Gaming Assets will be conditioned upon the approval of the applicable regulatory agencies of the transfer of the Gaming Licenses and any other gaming assets to the Successor Tenant and/or the issuance of new gaming licenses as required by applicable Gaming Regulations and the relevant regulatory agencies both with respect to operating and suitability criterion, as the case may be.

  • If Tenant does not reach an agreement prior to the end of such three (3) month period, Landlord shall conduct an auction for the Gaming Assets among the four potential successor lessees, and Tenant will be required to transfer the Gaming Assets to the highest bidder.

  • Upon designation of a Successor Tenant by Landlord (pursuant to this Article XXXVI), Tenant shall reasonably cooperate and take all actions reasonably necessary (including providing all reasonable assistance to Successor Tenant) to effectuate the transfer of the Gaming Assets and operational control of the Facility to Successor Tenant in an orderly manner so as to minimize to the maximum extent feasible any disruption to the continued orderly operation of the Facility for its Primary Intended Use.

  • Landlord and Tenant must designate their proposed Qualified Successor Tenants within ninety (90) days after receipt of an End of Term Gaming Assets Transfer Notice hereunder.


More Definitions of Gaming Assets

Gaming Assets has the meaning set forth in the Casino Lease.
Gaming Assets means (a) all real and personal property associated with the Gaming Business in which the Tribe has any right, title or interest, and (b) to the extent not included in (a), (i) all assets of the Tribe or any affiliate of the Tribe used in a Gaming Business, (ii) all cash, cash equivalents, receivables and other assets generated by the businesses or assets referred to in clauses (a) and (b)(i), and (iii) all proceeds, incomes and profits from any of the assets referred to in clauses (a) and (b) of this definition.
Gaming Assets means the assets owned, leased, held or used by Tenant in connection with the Gaming Operations, both tangible and intangible, including, without limitation, all furniture, fixtures and equipment (including, without limitation, all “Gaming devices” and “Associated equipment” as defined in the Gaming Act), including but not limited to the Existing Gaming Assets, and any replacements of any of the foregoing.
Gaming Assets means (a) any and all real, mixed and personal property owned by or on behalf of any Tribal Party (including the Authority) that is (i) associated with, or reasonably related and beneficial to, the Gaming Business (including the Project and the Proschold Property) or (ii) reflected on the balance sheet of the Authority as of December 31, 2002 or any subsequent balance sheet of the Authority, (b) the Gaming Business and any related parking or parking-related improvements or structures and (c) all tangible and intangible property associated with, or reasonably related and beneficial to, the Gaming Business owned by or on behalf of any Tribal Party, including, (i) all gaming, hotel, resort, entertainment, transportation, restaurant and related equipment, (ii) all intellectual property, (iii) the books and records thereof and all office equipment and receptacles associated therewith and (iv) all revenues of any Tribal Party derived from the Gaming Business, exclusive of revenues distributed by the Authority to another Tribal Party as permitted by this Indenture for application to non-Gaming Business purposes.
Gaming Assets means all real and personal property (and any interest therein) owned by any of the Borrower, the Tribe or any Affiliate of the foregoing, used in connection with or produced by the Gaming Enterprise, IMG Resort & Casino, Casino Apache Travel Center and Ski Apache ski area operated by the Borrower, the Guarantors or the Tribe, as the same may now or hereafter exist, together with any extensions or improvements thereto, including, without limitation all revenues generated therefrom and all Assignor Collateral (as defined in the Security Agreement); provided, however, that Gaming Assets shall not include any real and personal property (or any interest therein) that is exclusively used or produced by any Excluded Business.

Gaming Assets means the gambling, casino, riverboat and other gaming assets of the Company and its Subsidiaries owned on the Initial Borrowing Date.
