Gain Shares definition

Gain Shares means a number of Common Shares equal to the difference between the number of Common Shares issuable upon exercise of the related Option Rights and the number of Common Shares delivered by the Participant in satisfaction of the exercise price for such Option Rights.
Gain Shares means the shares of Common Stock determined in accordance with the provisions of Section VI E. hereof resulting from the exercise of any Stock option pursuant to Article VI of this Plan.
Gain Shares means the difference between the number of Common Shares deliverable upon exercise of the related Options and the number of Common Shares delivered by the Participant in satisfaction of the exercise price for such Options.

Examples of Gain Shares in a sentence

  • Stock-Settled Stock Appreciation Rights shall be counted in full against the number of shares available for award under the Plan, regardless of the number of Exercise Gain Shares issued upon settlement of the Stock Appreciation Right.

  • Shares that are subject to the Retention Agreement may not be sold, transferred, assigned, pledged, conveyed, hypothecated or otherwise disposed of within such period of time of not less than twenty-four (24) months following the exercise date (in the case of Exercise Gain Shares) or the date of issuance (in the case of Restricted Shares, Restricted Stock Unit Shares, or Performance Shares), as shall be prescribed by the Committee.

  • Stock Appreciation Rights to be settled in shares of Common Stock shall be counted in full against the number of shares available for award under the Plan, regardless of the number of Exercise Gain Shares issued upon settlement of the Stock Appreciation Right.

  • Grantee shall have no rights as a stockholder of any Base Shares or Gain Shares unless and until the Gain Shares are issued to Grantee upon the exercise of the Award.

  • Grantee acknowledges that any Gain Shares issued upon exercise of this Award may be subject to such transfer restrictions that prohibit any transfer, pledge, sale or disposition of the Gain Shares as the Company may deem necessary to comply with all applicable state and federal securities laws and regulations.

  • Until a Designated Executive’s minimum share ownership requirement is met, he or she must retain 100% of Gain Shares resulting from the exercise of stock options.

  • As of the Date of Exercise, Gain Shares shall be converted to Phantom Share Units by dividing the amount of the aggregate Fair Market Value of the Gain Shares as of the Date of Exercise by the Fair Market Value of one share of Common Stock as of the Date of Exercise.

  • Neither the Company nor any of its Affiliates makes any representation or undertaking regarding the treatment of any tax withholding in connection with the grant, vesting or exercise of the Award or the subsequent sale of the Gain Shares issuable pursuant to the Award.

  • If the Participant dies while Exercise Gain Shares or Performance Shares are subject to a retention period under the Share Retention Agreement, such retention period shall expire immediately at the time of death.

  • The Exercise Gain Shares shall be subject to the provisions of any Retention Agreement that may be required by the Committee under Section 12 of the Plan.

Related to Gain Shares

  • Buyer Shares means the common stock, with a par value of $0.0001 per share, of Buyer.

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Acquired Shares has the meaning set forth in the Recitals.

  • Plan Shares means shares of Common Stock held in the Trust which are awarded or issuable to a Participant pursuant to the Plan.

  • Purchased Shares has the meaning set forth in Section 2.01.

  • Transferred Shares means all or any portion of a Member’s Shares that the Member seeks to Transfer.

  • Stock Election Shares shall have the meaning set forth in Section 3.2.1.

  • Merger Shares has the meaning set forth in Section 2.2(c).

  • Option Shares shall have the meaning ascribed to such term in Section 2.2(a).

  • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.

  • Target Shares means the common shares in the capital of Target;

  • Common Share Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Common Shares, including, without limitation, any debt, preferred shares, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Common Shares.

  • Deferred Shares means an award made pursuant to Section 7 of this Plan of the right to receive Common Shares at the end of a specified Deferral Period.

  • Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;

  • Company Stock means, collectively, the Company Common Stock and the Company Preferred Stock.

  • Purchaser Shares means the common shares in the capital of the Purchaser.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Company Shares means the common shares in the capital of the Company;

  • RSU Shares means shares of Common Stock that underlie an RSU.

  • A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.

  • ASA Shares has the meaning set forth in 2.4(a).

  • Optioned Shares means the common shares of the Company, issuable on exercise of the Option; and

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Common Shares means the common shares in the capital of the Corporation;
