FX Hedged ETC Securities definition

FX Hedged ETC Securities means, in respect of a Series of ETC Securities, that the Metal Entitlement per ETC Security is hedged against movements in the exchange rate between the currency of such Series and the currency of the Metal Reference Price.
FX Hedged ETC Securities means, in respect of a Series of ETC Securities, that the Metal Entitlement per ETC Security is hedged against movements in the exchange rate between the currency of such Series and the currency of the Metal Reference Price.“General Business Day” means a day on which commercial banks are open for general business (including dealings in foreign exchange and foreign currency deposits).

  • No Event of Default will occur as a result of any such withholding or deduction.(x) Any disruption to a Price Source or Relevant Association may affect the Value per ETC Security of the ETC Securities and in the case of FX Hedged ETC Securities, the Metal Entitlement per ETC Security.

  • Waiting periodsThis is the time period that certain services are not eligible for coverage under this policy.

  • However, to facilitate subscriptions and buy-backs, the operation of the foreign exchange hedge (in the case of FX Hedged ETC Securities) and the deduction of the product fee, the Secured Account Custodian may hold some of the Metal on an “unallocated” basis.

  • Such rebalancing will be made in respect of FX Hedged ETC Securities to reflect gains or losses in respect of the foreign exchange hedge element of the metal entitlement per ETC Security.

  • As from the effective date of the merger, J.P. Morgan SE act as the Series Counterparty for the FX Hedged ETC Securities and as the Account Bank for the ETC Securities.

  • An increase in the Product Fee Percentage will reduce the Metal Entitlement per ETC Security by more than would have been the case had such fee not been increased.If the ETC Securities are FX Hedged ETC Securities and the value of the Specified Currency, expressed in units of the Metal Currency increases, the Metal Entitlement per ETC Security will decrease and vice versa, assuming all other factors remain constant.

  • We cannot find reason to restrict the licensee’s options for offering alternatives to removing structures or cancelling permits, so long as those options conform to any applicable laws.

  • In respect of FX Hedged ETC Securities, the Metal Entitlement per ETC Security on the first Scheduled Valuation Day following the determination of the occurrence or existence of a Disruption Event may also be calculated in accordance with an adjusted method in accordance with Condition 9(e).

  • Domestic securities means securities held within the United States.

  • Pledged Debt Securities has the meaning assigned to such term in Section 3.01.

  • Liquid Securities means securities that are publicly traded on the New York Stock Exchange, NYSE MKT, the Nasdaq Stock Market or any other regulated stock exchange in the United States, Canada, Europe or Australia (or any of their successors) and as to which the Company is not subject to any restrictions on sale or transfer (including any volume restrictions under Rule 144 under the Securities Act or any other restrictions imposed by the Securities Act) or as to which a registration statement under the Securities Act covering the resale thereof is in effect for as long as the securities are held; provided that securities meeting such requirements shall be treated as Liquid Securities from the date of receipt thereof until and only until the earlier of (a) the date on which such securities are sold or exchanged for cash or Cash Equivalents and (b) 180 days following the date of receipt of such securities. If such securities are not sold or exchanged for cash or Cash Equivalents within 180 days of receipt thereof, for purposes of determining whether the transaction pursuant to which the Company or a Restricted Subsidiary received the securities was in compliance with Section 4.12, such securities shall be deemed not to have been Liquid Securities at any time.

  • Foreign Securities include: securities issued and sold primarily outside the United States by a foreign government, a national of any foreign country or a corporation or other organization incorporated or organized under the laws of any foreign country and securities issued or guaranteed by the government of the United States or by any state or any political subdivision thereof or by any agency thereof or by any entity organized under the laws of the United States or of any state thereof which have been issued and sold primarily outside the United States.

  • Equity-linked Securities means any debt or equity securities that are convertible, exercisable or exchangeable for Class A Shares issued in a financing transaction in connection with a Business Combination, including but not limited to a private placement of equity or debt.

  • Lock-Up Securities has the meaning assigned to such term in Section 3.5.

  • Permitted Securities means any of the following:

  • Designated Securities means securities issued by an Insured, or by any Affiliated Entity, or by any Fund to which such Insured or any Affiliated Entity provides any services.

  • Certificated Securities means Securities in the form of physical, certificated Securities in registered form.

  • Specified Securities means ‘equity shares’ and ‘convertible securities’ as defined under clause (zj) of sub-regulation (1) of regulation 2 of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2009;

  • BofA Securities means BofA Securities, Inc.

  • Equity Preferred Securities means, with respect to any Person, any trust preferred securities or deferrable interest subordinated debt securities issued by such Person or other financing vehicle of such Person that (i) have an original maturity of at least twenty years, and (ii) require no repayments or prepayments and no mandatory redemptions or repurchases, in each case, prior to the first anniversary of the latest Maturity Date.

  • uncertificated securities means securities as defined in the Securities Services Act which are by virtue of the Companies Act transferable without a written instrument and are not evidenced by a certificate;

  • Related Securities means any options or warrants or other rights to acquire Shares or any securities exchangeable or exercisable for or convertible into Shares, or to acquire other securities or rights ultimately exchangeable or exercisable for or convertible into Shares.

  • Pledged Notes all promissory notes listed on Schedule 2, all Intercompany Notes at any time issued to any Grantor and all other promissory notes issued to or held by any Grantor (other than promissory notes issued in connection with extensions of trade credit by any Grantor in the ordinary course of business).

  • CHESS Approved Securities means securities of the Company for which CHESS approval has been given in accordance with the ASX Settlement Operating Rules;

  • Forward Hedge Shares means all Common Stock borrowed by the Forward Purchaser and offered and sold by the Forward Seller in connection with any Forward that has occurred or may occur in accordance with the terms and conditions of this Agreement. Where the context requires, the term “Forward Hedge Shares” as used herein shall include the definition of the same under the Alternative Distribution Agreements.

  • relevant securities means Ordinary Shares and securities carrying conversion or subscription rights into Ordinary Shares;

  • Approved Securities means securities of any State Government or of the Central Government and such bonds, both the principal whereof and the interest whereon shall have been fully and unconditionally guaranteed by any such Government;

  • Listed Securities means any Shares, Share Options, stock, debentures, debenture stock or other securities for the time being issued by the Company and officially quoted by ASX;

  • Covered Securities means any note, stock, treasury stock, security future, bond, debenture, evidence of indebtedness, certificate of interest or participation in any profit-sharing agreement, collateral-trust certificate, preorganization certificate or subscription, transferable share, investment contract, voting-trust certificate, certificate of deposit for a security, fractional undivided interest in oil, gas, or other mineral rights, any put, call, straddle, option, or privilege on any security (including a certificate of deposit) or on any group or index of securities (including any interest therein or based on the value thereof), or any put, call, straddle, option, or privilege entered into on a national securities exchange relating to foreign currency, or, in general, any interest or instrument commonly known as a "security", or any certificate of interest or participation in, temporary or interim certificate for, receipt for, guarantee of, or warrant or right to subscribe to or purchase any of the foregoing.

  • ETP Securities means the Series of ETP Securities to which these Conditions relates or, as the context may require, any or all securities issued by the Issuer under the Programme.

  • Pledged Equity has the meaning specified in the Security Agreement.

  • Pledged Equity Interests means all Pledged Stock, Pledged LLC Interests, Pledged Partnership Interests and Pledged Trust Interests.

  • Foreign Securities System means an Eligible Securities Depository listed on Schedule B hereto.
