Fund Financial Statements definition

Fund Financial Statements has the meaning set forth in Section 4.17(d).

Fund Financial Statements means (a) with respect to each Public Fund, the audited financial statements of each such Public Fund for the three most recently completed fiscal years (or, if a shorter period, since the inception of such Public Fund), together with reports on such year-end statements by each such Fund’s independent public accountants, including, in each case, for each investment portfolio thereof, a statement of net assets or statement of assets and liabilities and schedule of investments, a statement of operations and a statement of changes in net assets and (b) with respect to each Private Fund, the financial statements of each such Private Fund for the three most recently completed fiscal years (or, if a shorter period, since the inception of such Private Fund).

Fund Financial Statements means, collectively, the Fund Annual Financial Statements and the Fund Interim Financial Statements;
Fund Financial Statements means the financial statements of each Virtus Fund for the three (3) most recently completed fiscal years and the most recent semi-annual period, if any, including a statement of net assets or statement of assets and liabilities and schedule of investments, a statement of operations and a statement of changes in net assets and, in the case of such year-end statements, together with a report by such Virtus Fund’s independent registered public accounting firm.
Fund Financial Statements means: (a) the audited financial statements of each Fund for the fiscal years ended in 2017, 2018 and 2019, as applicable, together with reports on such year-end statements by each Fund’s independent registered public accountants, including a statement of assets and liabilities and schedule of investments and a statement of operations; and (b) the unaudited financial statements of each Fund for the semi-annual period ended June 30, 2020, including a statement of changes in net assets and schedule of investments, in each case as determined in accordance with GAAP.
Fund Financial Statements shall have the meaning set forth in Section 3.13(m).
Fund Financial Statements means the audited consolidated balance sheets, consolidated statements of income and deficit and the consolidated statements of cash flows of the Fund for the financial years ended December 31, 2008 and 2007 and the unaudited consolidated balance sheets, consolidated statements of income and deficit and the consolidated statements of cash flows of the Fund as at and for the period ended June 30, 2009;
Fund Financial Statements means the audited comparative consolidated financial statements of the Fund as at and for the years ended March 31, 2010 and 2009, together with the notes thereto and the auditor’s report thereon.

"Governmental Authority" means any foreign, United States, federal, state or local government, government agency, department, board, commission (including the SEC)or instrumentality, and any court, tribunal or arbitrator of competent jurisdiction, and any governmental or non-governmental self-regulatory organization, agency or authority (including the National Association of Securities Dealers, Inc., the Commodity Futures Trading Commission, and the National Futures Association). "Investment Company Act" means the Investment Company Act of 1940, as amended, and all rules and regulations adopted pursuant thereto. "Lien" means any pledge, lien, security interest, charge, claim or encumbrance of any kind. "LSAVST" means LSA Variable Series Trust, a Delaware business trust. "LSAVST Registration Statement" means the registration statement on Form N-1A, as amended, of LSAVST (SEC File Nos. 333-80845 and 811-09379). "Material Adverse Effect" means an effect that would cause a change in the condition (financial or otherwise), properties, assets or prospects of an entity having an adverse monetary effect in an amount equal to or greater than $50,000. "Person" means an individual or a corporation, partnership, joint venture, association, trust, unincorporated organization or other entity. "Reorganization" means (i) the transfer of all of the assets of the Acquired Fund in exchange for Acquiring Fund Shares; (ii) the assumption by the Acquiring Fund of all of the liabilities of the Acquired Fund; and (iii) the distribution of Acquiring Fund Shares to Acquired Fund Shareholders in complete liquidation and termination as described herein, all upon the terms and conditions set forth in this Agreement, and the termination of the Acquired Fund's status as a designated series of shares of LSAVST. "Required Shareholder Vote" shall have the meaning set forth in Section 3.13 of this Agreement. "Return" means any return, report or form or any attachment thereto required to be filed with any Governmental Authority. "SEC" means the United States Securities and Exchange Commission. "Securities Act" means the Securities Act of 1933, as amended, and all rules and regulations adopted pursuant thereto.
