Fuji Contract means that certain Shareholder Agreement, dated as of February 3, 1995, between Fuji Heavy Industries, Ltd. and the Borrower, providing for the Borrower’s acquisition of 40% of the shares of Rxxxx Manufacturing U.S.A. Inc.
