In the event that the Production Period expires pursuant to this Section 10, then all restrictions of Owner’s exploitation of the Reserved Rights and Frozen Rights will automatically expire.

The delivery to SPE, not later than the tender of payment by SPE of the First Advance, of subordinations or other documentation, satisfactory in form and substance to SPE, whereby Marvel’s lenders, if any, which have a security interest in the Property release their security interests in the Property or provide SPE with adequate assurance of its quiet enjoyment of the Rights and the Frozen Rights, free and clear of any security interests, liens, charges or encumbrances in favor of such lenders.
