Frozen Rights definition

Frozen Rights. , as used herein shall mean all derivative, ancillary, and allied rights in and to the Picture, including, without limitation, remakes and/or the sequels, if applicable, and including, without limitation, episodic television, animated motion pictures, and television programs, direct-to-video productions, theme park and gaming rights, and novelization), other than the Purchased Rights and the Reserved Rights. Commencing on the date hereof and continuing until the Option has expired, or is exercised in perpetuity, neither party hereto shall exploit, or authorize the exploitation of the Frozen Rights, or any portion thereof, without the prior written consent of the other party.
Frozen Rights also means an existing right that cannot be read to incorporate the specific manner in which it was regulated before 1982

  • In the event that the Production Period expires pursuant to this Section 10, then all restrictions of Owner’s exploitation of the Reserved Rights and Frozen Rights will automatically expire.

  • The foregoing obligation shall be secured by a lien on the Frozen Rights evidenced by a Mortgage of Copyright covering the Frozen Rights in the form of Exhibit D, which SPE shall sign and deliver to Marvel upon satisfaction of the Conditions.

  • In the event that all rights granted to Company hereunder revert to Owner as set forth in this Section 9.1, then all restrictions of Owner’s exploitation of the Reserved Rights and Frozen Rights will automatically expire.

  • The delivery to SPE, not later than the tender of payment by SPE of the First Advance, of subordinations or other documentation, satisfactory in form and substance to SPE, whereby Marvel’s lenders, if any, which have a security interest in the Property release their security interests in the Property or provide SPE with adequate assurance of its quiet enjoyment of the Rights and the Frozen Rights, free and clear of any security interests, liens, charges or encumbrances in favor of such lenders.

  • Restricted Stock Purchase Right means a right to purchase Stock granted to a Participant pursuant to Section 8.

  • Use Rights means the license terms and terms of service for each Product published on the Licensing Site and updated from time to time. The Use Rights supersede the terms of any end user license agreement that accompanies a Product. License terms for all Products are published in the Product Terms. Terms of service for Online Services are published in the Online Services Terms.
