  • If any item deposited to the FRG Concentration Account and credited to the Loan Account is dishonored or returned unpaid for any reason, whether or not such return is rightful or timely, the Administrative Agent shall have the right to reverse such credit and charge the amount of such item to the Loan Account and the Borrowers shall indemnify the Administrative Agent, the Collateral Agent, the Issuing Bank and the Lenders against all claims and losses resulting from such dishonor or return.

  • The Target Subsidiaries have established adequate reserves for Taxes in accordance with US GAAP and, in the case of German Subsidiaries, FRG GAAP for the payment of all accrued Taxes not yet due and payable.
