Fractional Shares definition

Fractional Shares. No fractional shares of Common Stock will be issued upon exercise of the Rights and, in lieu thereof, a payment in cash will be made to the holder of such Rights equal to the same fraction of the current market value of a share of Common Stock.

Example: Assume dividend = $0.20, Fractional Shares on ex-dividend date = 1.0000, and prior trading day actual closing price = $44.35. 1.0000 + (1.0000 * $0.20) / $44.35 = 1.0045 resulting Fractional Shares.
Fractional Shares means a purchase of a proportion of a share. The benefits of fractional shares are that it provides extensive diversification for relatively small investments.
Fractional Shares shall be referred to and construed as the "fractions of shares" subject to Section 155 of Delaware Law.
