Former Company Businesses definition

Former Company Businesses all of the businesses and operations heretofore but not currently conducted by the Company or any of its current or former subsidiaries or conducted currently or heretofore by any of the Company's former subsidiaries all of which are listed on Schedule B and all businesses or operations predominantly managed or operated by, or otherwise operationally related to, the Company's Automotive Safety Products Group which have been sold or otherwise disposed of or discontinued prior to the Distribution Date but shall not include any of the Former New Xxxxxx Businesses.

Related to Former Company Businesses

  • Company Business means the business of the Company and its Subsidiaries as presently conducted.

  • Retained Businesses means all businesses now, previously or hereafter conducted by Parent, the Sellers or any of their Subsidiaries or Affiliates, other than the Business.

  • Transferred Business has the meaning ascribed to such term in the Separation Agreement.

  • Parent Business shall have the meaning set forth in the Separation and Distribution Agreement.

  • Excluded Businesses means Business types which are excluded from application for an Inter-Community Business Licence and includes those Business types referred to in Schedule “A”.

  • the Business means the usual work and activities carried on by the Insured pertaining to his business as specified in the Schedule and no others.

  • Retained Business means any business now, previously or hereafter conducted by Seller or any of its Subsidiaries or Affiliates other than the Business.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Subject Business means the policy or policies that are the subject of the Insurance Business Transfer Plan.

  • Disabled Business Enterprise means a business owned by a person with a disability that is a continuing, independent, for-profit business that performs a commercially useful function, and is at least fifty-one (51%) owned and controlled by one (1) or more persons with a disability, or, in the case of any publicly-owned business, at least fifty one percent (51%) of the stock of which is owned and controlled by one(1) or more persons with a disability and whose management and daily business operations are under the control of one (1) or more persons with a disability.

  • Active business operations means all business operations that are not inactive business operations.

  • Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

  • home business means a business, service or profession carried out in a dwelling or on land around a dwelling by an occupier of the dwelling which —

  • Inactive business operations means the mere continued holding or renewal of rights to property previously operated for the purpose of generating revenues but not presently deployed for such purpose.

  • Excluded Business has the meaning set forth in Section 6.10.

  • Businesses means, at any time, a collective reference to the businesses operated by the Borrower and its Subsidiaries at such time.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Cannabis business means any business activity involving cannabis, including but not limited to cultivating, transporting, distributing, manufacturing, compounding, converting, processing, preparing, storing, packaging, delivering, testing, dispensing, retailing and wholesaling of cannabis, of cannabis products or of ancillary products and accessories, whether or not carried on for gain or profit.

  • Target Companies means the Company and its Subsidiaries.

  • Women Business Enterprise (WBE) as used in this policy means a business enterprise that meets all of the following criteria:

  • Separate Business means each of the activities of the Licensee connected

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Transferred Subsidiaries shall have the meaning set forth in the Recitals.

  • Retained Subsidiaries means all of the direct and indirect Subsidiaries of Seller other than the Purchased Subsidiaries.

  • Alarm business means the business by any individual, partnership, corporation, or other entity of selling, leasing, maintaining, servicing, repairing, altering, replacing, moving or installing any alarm system or causing to be sold, leased, maintained, serviced, repaired, altered, replaced, moved or installed any alarm system in or on any building, structure or facility.

  • Public business means and includes all matters which relate in any way, directly or indirectly, to the performance of the public body’s functions or the conduct of its business.
