  • Current Report shall have the meaning assigned to such term in Section 2.3.

  • Parent Reports has the meaning set forth in Section 4.5(a).

  • Rule 482 Statement means a document that contains the number of Securities issued, the offering price and any other items dependent upon the offering price, prepared in accordance with the provisions of Rule 482 of the 1933 Act, a copy of which shall be attached as Schedule D hereto. “Statutory Prospectus” as of any time means the prospectus relating to the Securities that is included in the Registration Statement immediately prior to that time, including any document incorporated by reference therein.   • Quarterly Report means Servicer’s report to me that includes, among other information, the results of the IRG’s Compliance Reviews for the calendar quarter covered by the report, as required by Paragraph D.1 of Exhibit E;

  • Information Statement has the meaning set forth in Section 6.6.

  • Short Form Notice means the summary Class Notice that is attached to this Agreement as Exhibit 2, which the Parties acknowledge may be modified by the Court without affecting the enforceability of this Agreement.

  • SEC means the Securities and Exchange Commission.

  • Form S-4 Registration Statement means the registration statement on Form S-4 to be filed with the SEC by Parent in connection with issuance of Parent Common Stock in the Merger, as said registration statement may be amended prior to the time it is declared effective by the SEC.

  • Form 10-K Certification As defined in Section 4.03(e).

  • SEC Rule 145 means Rule 145 promulgated by the SEC under the Securities Act.

  • Public statement means a statement made in the ordinary course of business of the public body with the intent that all other members of the public body receive it.

  • Form 10-K is defined in Section 7.1(b).

  • Rule 415 Offering means an offering on a delayed or continuous basis pursuant to Rule 415 (or any successor rule to similar effect) promulgated under the Securities Act.

  • Form S-1 shall have the meaning given in subsection 2.1.1.

  • Distribution Statement has the meaning set forth in Section 5.02(c) of the Trust Agreement.

  • Qualifying Public Offering means a firm commitment underwritten public offering of Stock for cash where the shares of Stock registered under the Securities Act are listed on a national securities exchange.

  • Form S-1 Shelf shall have the meaning given in Section 2.1.1.

  • Form S-3 Shelf shall have the meaning given in Section 2.1.1.
