FLYi Indenture definition

FLYi Indenture means the Indenture, dated as of February 25, 2004, by and between Atlantic Coast Airlines Holdings, Inc., n/k/a FLYi, as issuer, and U.S. Bank National Association, as trustee, together with each of its supplemental indentures and amendments.

  • In addition, the Distribution Trustee will not be required to distribute Cash to the holder of an Allowed General Unsecured Claim or to the indenture trustee under the FLYi Indenture on behalf of the holders of Allowed Class 3B Claims if the amount of Cash to be distributed on account of such Claim or Claims is less than $5 in the aggregate.

  • The provisions of this Section IV.J shall not apply to any charging lien under the FLYi Indenture.

  • The Debtors’ and the Note Registrar’s (as defined in the FLYi Indenture) records for the transfer of Convertible Notes shall be closed as of the 4:00 p.m. Wilmington time on the Distribution Record Date, and no transfer of Convertible Notes occurring after such time shall be recognized.

  • The Debtors' and the Note Registrar's (as defined in the FLYi Indenture) records for the transfer of Convertible Notes shall be closed as of 4:00 p.m. Wilmington time on the Distribution Record Date, and no transfer of Convertible Notes occurring after such time shall be recognized.

  • In such event, the Claim or Claims for such distribution shall be deemed satisfied, waived and released and the claimant or the indenture trustee under the FLYi Indenture, as the case may be, will be forever barred from asserting any such Claim against the Debtors, the Distribution Trustee or the property of any of them, including the Trust Accounts.

  • The net Cash proceeds of the FLYi Distribution Trust Assets will be distributed to the indenture trustee under the FLYi Indenture, who will distribute the net Cash proceeds to the holders of Allowed Convertible Note Claims pursuant to the terms of the Distribution Trust Agreement and the FLYi Indenture, subject to the provisions of Section III.D.

  • The net Cash proceeds of the FLYi Distribution Trust Assets will be distributed to the indenture trustee under the FLYi Indenture, who will distribute the net Cash proceeds to the holders of Allowed Convertible Note Claims pursuant to the terms of the Distribution Trust Agreement (including the disputed claim reserve provisions) and the FLYi Indenture, subject to the provisions of Section III.D.

  • All distributions on account of Allowed Claims of holders of the Convertible Notes shall be made to the indenture trustee under the FLYi Indenture for further distribution to the holders of such notes of record as of 4:00 p.m. Wilmington time on the Distribution Record Date, and the FLYi Indenture will continue in effect to the extent necessary to allow the indenture trustee to receive and make such distributions.

  • Debenture Indenture means the Indenture, dated as of December 1, 1989, between United Parcel Service of America, Inc. and Chemical Bank pursuant to which the 8-3/8% Debentures Due April 1, 2020 were issued, as in effect on the date of this Agreement (without giving effect to any amendment, supplement or other modification thereto, any repayment or covenant defeasance thereunder or any termination thereof), a copy of which is attached as Exhibit F hereto.

  • Senior Notes Indentures means, collectively, the 2020 Senior Notes Indenture and the 2023 Senior Notes Indenture.

  • Subordinated Notes Indenture means that certain Subordinated Debenture Indenture between DH (f/k/a NGC Corporation) and First National Bank of Chicago, as Debenture Trustee, dated as of May 28, 1997 (as amended, restated and supplemented through the Petition Date).

  • Master Indenture means this Master Trust Indenture, as amended and supplemented from time to time in accordance with the provisions hereof.

  • Existing Senior Notes Indenture means that certain Indenture dated as of March 16, 2011, by and between the Borrower, as issuer, and Xxxxx Fargo Bank, National Association, as trustee, as amended, restated, supplemented, renewed or extended or otherwise modified from time to time to the extent permitted by Section 7.15.

  • New Notes Indenture means the Indenture, dated as of , 20 , between the Company and the other Obligors, and Xxxxx Fargo Bank, National Association, as trustee and collateral agent, relating to the Company’s 9.00% Senior Secured Notes due 20 , to be substantially in the form of Exhibit [ ] hereto.   • Existing Notes Indentures means, collectively, the Existing Senior Notes Indentures and the Existing Senior Guaranteed Notes Indentures.

  • Unsecured Notes Indenture means the indenture, dated as of July 31, 2015, by and among the Borrower and Wilmington Trust, National Association, as trustee.

  • New Indenture has the meaning set forth in the Recitals.

  • Convertible Note Indenture means the Indenture dated as of February 21, 2014 between Emergent and the Convertible Note Trustee pursuant to which the Convertible Notes were issued.

  • Underlying Securities Indenture As set forth in Schedule I.
