First Completion Conditions definition

First Completion Conditions means the Conditions in clause 2.1(a).
First Completion Conditions means the conditions precedent to First Completion set out in Clause 3.1;

Examples of First Completion Conditions in a sentence

  • The First Completion will only take place provided that the First Completion Conditions are fulfilled or waived.

  • If any of the First Completion Conditions has not been fulfilled (or waived) on or prior to 30 September 2011 (or such later date as the Company and the Subscribers may agree in writing), then none of the Company and the Subscribers shall be bound to proceed with the transactions contemplated under the Subscription Agreement.

  • First Completion The First Completion shall take place on the tenth (10th) Business Day from and excluding the day on which the last of the First Completion Conditions has been fulfilled or waived (or such other date as the Company and the Subscribers may agree in writing).

  • The Subscribers may, jointly but not severally, waive the First Completion Conditions set out in (a), (f), (g), (h), (i), (j), (k) and (n) above at any time by notice in writing to the Company.

  • The Issuer shall promptly notify PAG in writing after satisfaction of all of the First Completion Conditions (except for those conditions which by their nature may not be satisfied until First Completion, and for such purpose, disregarding any requirement that any First Completion Condition is subject to satisfaction of PAG).

  • Perfect Sky may waive the First Completion Conditions set out in (b) at any time by notice in writing to the Company.

  • Following satisfaction (or waiver, if applicable) of all of the First Completion Conditions, the Company and Vela will develop the planned delivery schedule of the Vela Vessels.

Related to First Completion Conditions

  • Construction Completion Date means the date by which the overall development of the Project is completed in accordance with the provisions of this Agreement and when the Construction Completion Certificate is issued by the Independent Engineer as per Article 14.1.

  • Termination Conditions means, collectively, (a) the payment in full in cash of the Obligations (other than (i) contingent indemnification obligations not then due and (ii) Obligations under Secured Hedge Agreements and Secured Cash Management Agreements) and (b) the termination of the Commitments and the termination or expiration of all Letters of Credit under this Agreement (unless the Outstanding Amount of the L/C Obligations related thereto has been Cash Collateralized on terms reasonably acceptable to the applicable Issuing Bank, backstopped by a letter of credit reasonably satisfactory to the applicable Issuing Bank or deemed reissued under another agreement reasonably acceptable to the applicable Issuing Bank).

  • Poor foundation conditions means those areas where features exist which indicate that a natural or man-induced event may result in inadequate foundation support for the structural components of an SWLF unit.

  • Extension Conditions Defined in Section 3.06(a).

  • Step Down Conditions As of any Distribution Date on which any decrease in any Senior Prepayment Percentage may apply, (i) the outstanding Principal Balance of all Mortgage Loans 60 days or more Delinquent (including Mortgage Loans in REO and foreclosure), averaged over the preceding six month period, as a percentage of the aggregate of the Class Certificate Principal Balances of the Classes of Subordinate Certificates on such Distribution Date, does not equal or exceed 50% and (ii) cumulative Realized Losses with respect to all of the Mortgage Loans do not exceed: · for any Distribution Date on or after the seventh anniversary until the eighth anniversary of the first Distribution Date, 30% of the aggregate Certificate Principal Balance of the Subordinate Certificates as of the Closing Date, · for any Distribution Date on or after the eighth anniversary until the ninth anniversary of the first Distribution Date, 35% of the aggregate Certificate Principal Balance of the Subordinate Certificates as of the Closing Date, · for any Distribution Date on or after the ninth anniversary until the tenth anniversary of the first Distribution Date, 40% of the aggregate Certificate Principal Balance of the Subordinate Certificates as of the Closing Date, · for any Distribution Date on or after the tenth anniversary until the eleventh anniversary of the first Distribution Date, 45% of the aggregate Certificate Principal Balance of the Subordinate Certificates as of the Closing Date, and · for any Distribution Date on or after the eleventh anniversary of the first Distribution Date, 50% of the aggregate Certificate Principal Balance of the Subordinate Certificates as of the Closing Date.

  • The Completion Date means the date of completion of the Works as certified by the Employer’s Representative.

  • Construction Completion means physical construction of a cleanup action component is complete.

  • Final Completion Date means the date on which Final Completion occurs.

  • Litigation Conditions has the meaning set forth in Section 11.3.

  • Final Completion means the date determined and certified by A/E and Owner on which the Work is fully and satisfactorily complete in accordance with the Contract.

  • Normal Operating Conditions means those Service conditions which are within the control of Grantee. Those conditions which are not within the control of Grantee include, but are not limited to, natural disasters, civil disturbances, power outages, telephone network outages, and severe or unusual weather conditions. Those conditions which are ordinarily within the control of Grantee include, but are not limited to, special promotions, pay-per-view events, rate increases, regular peak or seasonal demand periods, and maintenance or upgrade of the Cable System.

  • Substantial Completion Date means the date on which Substantial Completion occurs.

  • Improvement completion assurance means a surety bond, letter of credit,

  • Project Completion Date means the date on which the Completion Certificate is issued;

  • Completion Date means the date of completion of the Services by the Service Provider as certified by the Procuring Entity

  • Outside Completion Date shall have the meaning assigned to such term in Section 6.3(d).

  • Completion Deadline means August 15, 2018, or such later date as may be agreed to in writing by the Parties;

  • Substantial Completion means the stage in the progress of the work as determined and certified by the Contracting Officer in writing to the Contractor, on which the work (or a portion designated by the Government) is sufficiently complete and satisfactory. Substantial completion means that the property may be occupied or used for the purpose for which it is intended, and only minor items such as touch-up, adjustments, and minor replacements or installations remain to be completed or corrected which:

  • Construction Completion Certificate means a document:

  • Completion Notice means a notice issued by the Developer in accordance with clause 6.1.

  • Extension Minimum Condition means a condition to consummating any Extension that a minimum amount (to be determined and specified in the relevant Extension Request, in the Borrower’s sole discretion) of any or all applicable Classes be submitted for Extension.

  • Minimum Condition has the meaning set forth in Annex I.

  • Distribution Conditions means, with respect to any Restricted Payment or Restricted Junior Debt Prepayment, the following:

  • Offer Conditions has the meaning set forth in Section 1.01(b).

  • Acceptance Condition means, with respect to an Offer, the condition set forth in the Offer Documents with respect to the number of acceptances to an Offer which must be secured to declare such Offer unconditional as to acceptances which shall be more than 50% of the Target shares carrying voting rights.

  • Mechanical Completion means that (a) all components and systems of the Project have been properly constructed, installed and functionally tested according to EPC Contract requirements in a safe and prudent manner that does not void any equipment or system warranties or violate any permits, approvals or Laws; (b) the Project is ready for testing and commissioning, as applicable; (c) Seller has provided written acceptance to the EPC Contractor of mechanical completion as that term is specifically defined in the EPC Contract.
