Firm Purchase Order means a purchase order for Products placed by GenMark, and accepted by Leica, in accordance with Section 9.4.
Firm Purchase Order means, a purchase order for Products that is firm, binding, unchangeable, and non-cancelable even if delivery under said purchase order is scheduled to occur after termination of this Agreement; provided, however, that any such purchase order may be canceled by DO under any of the following circumstances: if the Products covered by the purchase order are not legally marketable or commercially available; in the event of a Default by CCSI relating to the delivery (or failure or delay in delivery) of the Products as defined in paragraph 9(a) of Section III; when there has been any other Default by CCSI under the Agreement that would give rise to a right of termination by DO; or in the event of a Force Majeure Event that prevents timely delivery of the Products covered by the Purchase Order and such delivery does not occur within six (6) months after the occurrence of the Force Majeure Event .

Firm Purchase Order. A purchase order issued by BUYER to SELLER, to the address set forth on Exhibit E hereto, for delivery of Formulated Products and/or Source Materials in BUYER's standard form; provided that with the exception of delivery dates and quantities between the parties, any terms and conditions contained in, set forth on the face or on the reverse side of any of the aforementioned forms shall be deemed null and void and of no force or effect to the extent they are different from or in addition to the terms and conditions of this Agreement.

The PRODUCT quantity specified in this schedule shall be fixed and binding on the parties. 1.10 "MANUFACTURING MATERIALS" shall mean ACTIVE INGREDIENT in bulk or semi-finished state, inactive materials, ingredients, excipients, capsules, shipping materials, etc., furnished by PHARMAPRINT directly, or, manufactured, acquired, supplied, provided or segregated by AAI for PHARMAPRINT as herein provided, for use in the PREPARATION of PRODUCT. 1.11 "MANUFACTURING SCHEDULE" shall mean an agreed upon schedule establishing the following material terms: (i) the minimum and maximum quarterly quantities of PRODUCTS which AAI is obligated to produce and PHARMAPRINT is obligated to purchase; (ii) the intended twelvemonth MANUFACTURING SCHEDULE of PRODUCT; and (iii) the minimum purchase order quality for PRODUCT.
