Financing Plans definition

Financing Plans means, collectively, the various wholesale and retail (both retail installment credit financing and leasing) financing plans provided to Dealers and Target Company Customers by Credit Company, including, for the avoidance of doubt, plans structured such that Credit Company does not make such financing directly available to the Dealers and/or Target Company Customers but instead acts in an undisclosed capacity and/or as Target Company’s receivables collection agent and those plans where Target Company pays Credit Company’s financing costs.
Financing Plans means the plans setting forth the amounts required by each Participating Bank on March 31, 1993, March 31, 1994 and December 31, 1994 to have a minimum Capital Adequacy of 8% by December 31, 1994;
Financing Plans means a Developers' plan for financing the acquisition of a Developer Parcel and the development of the applicable Development Improvements, including a detailed development budget, construction and permanent financing commitment letters, to be approved by the Commission pursuant to Sections 5.5 or Section 5.8, and which may be revised from time to time with the approval of the Commission pursuant to Sections 11.18 of this Agreement.

  • Financing Plan means the Republic of Venezuela 1990 Financing Plan dated June 25, 1990, distributed to the international banking community.

  • Net Financing Proceeds means the cash proceeds received by the Partnership in connection with any borrowing by or on behalf of the Partnership (whether or not secured), or distributed to the Partnership in respect of any such borrowing by any Subsidiary Entity, after deduction of all costs and expenses incurred by the Partnership in connection with such borrowing, and after deduction of that portion of such proceeds used to repay any other indebtedness of the Partnership, or any interest or premium thereon.

  • Refinancing Commitments shall have the meaning provided in Section 2.14(h).

  • Financing Costs means for each calendar day the product of:

  • Financial Closure or Project Financing Arrangements means the agreements pursuant to which the SPG has sought financing for the Power Project including the loan agreements, security documents, notes, indentures, security agreements, letters of credit and other documents, as may be amended, modified, or replaced from time to time, but without in anyway increasing the liabilities of JDVVNL.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Permitted Acquisition Documents means with respect to any acquisition proposed by the Borrower or any Subsidiary Guarantor, final copies or substantially final drafts if not executed at the required time of delivery of the purchase agreement, sale agreement, merger agreement or other agreement evidencing such acquisition, including, without limitation, all legal opinions and each other document executed, delivered, contemplated by or prepared in connection therewith and any amendment, modification or supplement to any of the foregoing.

  • Exit Financing means the financing under the Exit Facility.

  • Financing Proceeds means the net proceeds from any loan secured by all or any portion of the Partnership's real property (including any refinancing) that remain after the repayment of any indebtedness of the Partnership secured by all or a portion of such real property with such proceeds and all costs related to such loan.

  • Credit Enhancement Agreements means, collectively, any documents, instruments, guarantees or agreements entered into by the Issuer, any of its Restricted Subsidiaries or any Securitization Entity for the purpose of providing credit support (that is reasonably customary as determined by Issuer’s senior management) with respect to any Permitted Funding Indebtedness or Permitted Securitization Indebtedness.

  • Refinancing Facility Agreement means a Refinancing Facility Agreement, in form and substance reasonably satisfactory to the Agent, among Holdings, the Borrower, each Subsidiary of the Borrower party to this Agreement, the Agent and one or more Refinancing Lenders, establishing Refinancing Commitments and effecting such other amendments hereto and to the other Loan Documents as are contemplated by Section 2.26.

  • Debt Financing has the meaning set forth in Section 5.7.

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.

  • DIP Facilities means the DIP ABL Facility and the DIP Term Loan Facility.

  • Refinancing Facility has the meaning specified in Section 2.16(a).

  • Existing Financing means the financing arrangements that provided for a security interest granted by Company in the Aircraft and that were outstanding on August 3, 2020.

  • Financing Transactions means the execution, delivery and performance by each Loan Party of the Loan Documents to which it is to be a party, the borrowing of Loans, the use of the proceeds thereof and the issuance of Letters of Credit hereunder.

  • Restructuring Plan means the Restructuring Plan attached hereto as Schedule 1.1.

  • Prior Loan Agreement is defined in Recital A.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • DIP Facility Documents means any notes, certificates, agreements, security agreements, documents, or instruments (including any amendments, restatements, supplements, or modifications of any of the foregoing) related to or executed in connection with the DIP Credit Agreement.

  • Interim Financing means any new financial assistance, provided by an existing or a new creditor, that includes, as a minimum, financial assistance during the stay of individual enforcement actions, and that is reasonable and immediately necessary for the debtor's business to continue operating, or to preserve or enhance the value of that business;
