Final Survival Date definition

Final Survival Date means the later of (i) twelve (12) months after the Closing Date and (ii) March 31, 2015.
Final Survival Date means the date which is the first (1st) anniversary of the Closing Date.

  • No Indemnified Party shall have any right to assert any claim against any Indemnifying Party with respect to any Loss, cause of action or other claim to the extent such Loss is a Loss, cause of action or claim with respect to which such Indemnified Party or any of its Affiliates has taken action (or caused action to be taken) with the intent and purpose of accelerating the time period in which such matter is asserted or payable in order to cause a claim to be made prior to the Final Survival Date.

  • Excluded Representations has the meaning set forth in Section 7.3(a).

  • Final Determination Date means the following:

  • Buyer Fundamental Representations means the representations and warranties of Buyer contained in Sections 6.1, 6.2 and 6.7.

  • Closing Certificate means the closing certificate of the Company in the form of Exhibit B hereto.

  • Indemnity Cap has the meaning set forth in Section 9.2(b).

  • Indemnification Escrow Agreement means that certain Indemnification Escrow Agreement in the form attached hereto as Exhibit D, with such changes as may be agreed to among the Buyer, the Seller and the Escrow Agent.
