Final Parent Stock Price definition

Final Parent Stock Price means the average of the per share closing sales prices of Parent Common Stock on NYSE, as reported in The Wall Street Journal, for the ten consecutive trading days ending on the fifth calendar day immediately prior to the Effective Time (or if such calendar day is not a trading day, then ending on the first trading day immediately preceding such calendar day).
Final Parent Stock Price means the volume-weighted average of the closing prices per share of Parent Common Stock as reported on the Nasdaq National Market (“Nasdaq”) during the Valuation Period.
Final Parent Stock Price means the volume-weighted average of the trading sale prices per share of Parent Common Stock as reported on the New York Stock Exchange (the “NYSE”) during the Valuation Period.

  • In lieu of any such fractional share, each holder of Shares who would otherwise have been entitled to a fraction of a Parent Share upon surrender of Certificates for exchange shall be paid, upon such surrender, cash (without interest) determined by multiplying (i) the Final Parent Stock Price by (ii) the fractional interest of Parent Common Stock to which such holder would otherwise be entitled.

  • For purposes hereof, "Final Parent Stock Price" shall mean the average of the closing prices of the Parent Common Stock for the twenty consecutive days on which the Parent Common Shares are traded on The New York Stock Exchange (the "NYSE") ending on the fifth calendar day immediately preceding the Company Stockholders Meeting (as defined in Section 2.13).

  • Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock on the NYSE (as reported by Bloomberg L.P. or, if not reported therein, in another authoritative source mutually selected by Parent and the Company in good faith) on each of the five (5) consecutive trading days ending on the trading day that is two (2) trading days prior to the Closing Date.

  • Average Parent Stock Price means the average of the volume weighted averages of the trading prices of Parent Common Stock, as such price is reported on the NYSE Composite Transaction Tape (as reported by Bloomberg Financial Markets or such other source as the parties shall agree in writing), for the 15 trading days ending on the third trading day immediately preceding the Effective Time.
