Final Closing Properties definition

Final Closing Properties means all Properties (other than Initial Closing Properties) for which the closing conditions in Article V have been satisfied or waived within ten (10) Business Days prior to the Final Closing Date (other than closing conditions intended to be satisfied at Closing or otherwise on the Final Closing Date).
Final Closing Properties shall have the meaning set forth in Section 2.3(a)(v).

  • The period ended September 30, 2018 includes the operations of the First Closing Properties for the period from January 1, 2018 through September 12, 2018 and the operations of the Second Closing Properties and the Final Closing Properties for the period from January 1, 2018 through September 30, 2018.

  • Reflects the acquisition of the Second Closing Properties which closed on October 16, 2018 and the Final Closing Properties which closed on January 31, 2019.

Related to Final Closing Properties

  • Final Closing Date shall have the meaning specified in Section 7.2(a) hereof.

If any Optional Shares are to be purchased, each Underwriter agrees, severally and not jointly, to purchase the number of Optional Shares (subject to such adjustments to eliminate fractional shares as the Representatives may determine) that bears the same proportion to the total number of Optional Shares to be purchased as the number of Firm Shares set forth on Schedule A opposite the name of such Underwriter bears to the total number of Firm Shares. The Representatives may cancel the option at any time prior to its expiration by giving written notice of such cancellation to the Company.

  • Final Closing Statement has the meaning set forth in Section 2.5(d).

  • Final Closing Net Working Capital has the meaning set forth in Section 2.6(c).

  • Estimated Closing Indebtedness has the meaning set forth in Section 2.3(a).

  • Subsequent Closing Date means, with respect to each Subsequent Closing, the date on which such Subsequent Closing is deemed to have occurred.
