Final Adjudication definition

Final Adjudication has the meaning set forth in Section 5.5.
Final Adjudication means a final judicial decision from which there is no further right to appeal.
Final Adjudication has the meaning set forth in Section 10.02(a).

  • In addition, any suit by the Company to recover an Advancement of Expenses pursuant to the terms of an Undertaking the Company shall be entitled to recover such expenses upon a Final Adjudication that, the Indemnitee has not met the applicable standard of conduct set forth in the Delaware Law.

  • Indemnitee hereby undertakes and agrees that Indemnitee will reimburse and repay the Company without interest for any Expense Advances to the extent that it shall ultimately be determined (in a Final Adjudication) that Indemnitee is not entitled under the law to be indemnified by the Company against such Expenses.

More Definitions of Final Adjudication

Final Adjudication means a final adjudication by a court from which there is no further right of appeal or a final adjudication of an arbitration pursuant to Section 5.1 if Indemnitee elects to seek such arbitration.
