Filings the filing or recording of (i) the Financing Statements as set forth in Schedule 3, (ii) this Agreement or a notice thereof with respect to Intellectual Property as set forth in Schedule 3, and (iii) any filings after the Closing Date in any other jurisdiction as may be necessary under any Requirement of Law.

Filings shall have the meaning specified in Section 6 of this Agreement.

Filings means (a) UCC financing statements, UCC financing statement amendments and UCC financing statement terminations and (b) the substantial equivalent as reasonably determined to be necessary by Administrative Agent in any other jurisdiction in which any Borrower may be formed.

• US2 shall submit, at least fifteen (15) Business Days prior to any filing in accordance with the time periods set forth in the Schedule of Approvals, to City of Somerville, Mayor’s Office of Strategic Planning and Community Development (“OSPCD”), for its prior review and written comment, copies of all Major Permit Filings (as hereinafter defined) (including any and all amendments or modifications thereto) intended to be made by US2 in connection with the D- 2 Block Project.

• If, at any time, 25 or more similar demands for arbitration are asserted against Upward or related parties by the same or coordinated counsel or entities (“Mass Filing”), consistent with the definition and criteria of Mass Filings set forth in the NAM’s Mass Filing Supplemental Dispute Resolution Rules and Procedures (“NAM’s Mass Filing Rules”, available at xxxxx://xxx.xxxxxx.xxx/resources/rules-fees-forms/), the additional protocols set forth below shall apply.

• At a minimum, the Major Permit Filings shall include filings by US2 for MEPA (as co-proponent with SRA), Section 54A of Chapter 40, zoning, any permit which requires off site mitigation, permits relating to sewer and utility connections, parking and traffic management (except to the extent the same reflect the implementation of matters previously reviewed in connection with MEPA, zoning or other filings), and any agreement related to real estate taxes.

• During the summer of 2009 the Core Management Team will meet to discuss program planning for 2010 toward the goal of allowing the Electric Utilities to make the 2010 Core Program Filings no later than September 30,2009.

More Definitions of Filings

Filings shall have the meaning specified in Article 7(b).
