FIFTY-. Percent or Greater Interest" shall have the meaning ascribed to such term for purposes of Code (S)(S) 355(d) and (e).
FIFTY-. SECOND: - Landlord or Landlord's agents have made no GLASS AND representations or promises with respect to the said building or GLASS demised premises except as herein expressly set forth. FIFTY-THIRD: - In the event the fixed annual rent or additional ADJACENT rent or any part thereof provided to be paid by Lessee under the EXCAVATION provisions of this lease during the demised term shall become - SHORING uncollectible or shall be reduced or required to be reduced or refunded by virtue of any Federal, Sate, County or City law, order or regulation, or by any direction of a public officer or body pursuant to law, or the orders, rules, code, or regulations of any organization or entity formed pursuant to law, whether such organization or entity be public or private, then Lessor, at its option, may at any time thereafter terminate this lease, by not less than thirty (30 days' written notice to Lessee, on a date set forth in said notice, in which event this lease and the term hereof shall terminate and come to an end on the date fixed in said notice as if the said date were the date originally fixed herein for the termination of the demised term. Lessor shall not have the right so to terminate this Lease if Lessee within such period of thirty (30) days shall in writing lawfully agree that the rentals herein reserved are reasonable rentals and agree t o continue to pay said rentals and if such agreement by Lessee shall be legally enforceable by Lessor.

FIFTY-. ONE: Anything contained in this Contract to the Contrary notwithstanding, if required by Tenant, it shall be for Tenant's own cost and expense the construction and/or installation of a sprinkler system; it being agreed and understood that such construction shall be in accordance with the provisions of this Contract.
FIFTY-. Second: Tenant will indemnify Landlord and save it harmless from any and all claims, actions, damages, liability, and expense in connection with lose of life, personal injury, and or damage to property arising from or out of any occurrence in, upon or at the demised premises, or the occupancy or use by Tenant of the demised premises or any part thereof, or Tenant's use of the common areas, or occasioned wholly or in part by any act or omission of Tenant, its agents, contracts, employees, servants, lessees or concessionaires, and if in the event of any such claim or action, Landlord shall, without fault on its part, be made a party to any litigation commenced by or against the Tenant, then Tenant shall protect and hold Landlord harmless and shall pay all costs, expenses and reasonable attorney's fees that may be incurred or paid by Landlord in connection with such litigation. Tenant shall also pay all costs, expense and reasonable attorney's fees that may be incurred or paid by Landlord in enforcing the covenants and agreements in this lease. In the event Tenant is successful in any proceedings brought pursuant to the provisions hereof. Tenant shall be entitled to costs and expenses, and reasonable attorney's fees. Fifty-Third: Tenant shall pay for all water, sewer and sewage tax or charge, gas, electricity and fuel and telephone expenses, used in or for the demised premises. The Landlord is under no obligation to furnish heat or hot water to the demised premises or gas, electric or other utilities. Tenant simultaneously with the execution hereof shall promptly make deposits in connection therewith. Tenant shall keep any meters installed by Landlord in good repair. If Tenant fails to maintain any meters, Landlord may install and maintain the same at the Tenant's expense, which shall be deemed additional rent. Tenant shall bear the cost and expense of maintenance and repairs of the air conditioning, heat and hot water systems, plumbing and electrical systems. The Landlord shall not be liable for damages or otherwise for any failure to furnish or interruption of the services of water, gas, electricity or sewage.
FIFTY-. ONE: TENANT hereby acknowledges that in the industrial park there are other industries; therefore TENANT hereby specifically agrees and undertakes to take such steps and install such equipment as may be necessary to prevent that any hazard and/or noise which may be created by its operations may in any way or manner unduly affect the operations of the other industries and therefore TENANT hereby releases and saves LANDLORD harmless from any and all claims or demands arising therefrom or in connection therewith.
FIFTY-. ONE: Anything contained in this Contract to the contrary notwithstanding, in the event that TENANT requires additional volume of water and/or pressure as is now available within the area wherein the demised premises are located, it shall be at its own cost and expense the construction and/or installation of such improvements and/or facilities as may be necessary to or convenient and/or required by the Puerto Rico Aqueduct and Sewer Authority to increase such volume and/or pressure; it being agreed and understood, however, that such construction and/or installation shall in no event be commenced until after LANDLORD's written approval has first been requested and obtained.
FIFTY-. SECOND: Anything in this lease to the contrary notwithstanding, landlord shall be responsible for any and all roof repairs, and/or replacement until October 1, 1978. FIFTY-THIRD: Anything to the contrary notwithstanding, both parties hereto agree upon the following verbiage to be added to sub-section (c) of Paragraph Thirty-Third of this Rider relating to the computation of damages in the event of the termination set forth therein: In the computation of such damages, the difference between any installment of rent becoming due hereunder after the date of termination and the fair and reasonable rental value of the demised premises for the period for which such installment was payable shall be discounted to the date of termination at the rate of 4% per annum FIFTY-FOURTH: Landlord agrees that tenant shall have the right, at its own costs and expense, to contest the amount or legality of any tax or assessment as to which tenant may be obligated to pay, and tenant may make application for the reduction thereof, or of any assessment upon which the same may be based, and landlord agrees at the request of tenant to execute or join in the execution of any instruments or documents necessary in connection with such contest or application and assist tenant in the prosecution of such contest or application, but without cost or expense to landlord. If any such contest or application shall result in a reduction of any such tax or assessment, the total amount of any refund received by the landlord, to the extent to which the same is based upon payment made by the tenant, shall promptly be paid by the landlord to the tenant, or tenant may at its option deduct the same from rent thereafter payable.
FIFTY-. SECOND: (a) Provided the Tenant or an Affiliate is then occupying sixty percent (60%) of the premises then being leased hereunder, the Tenant or an Affiliate is granted a one-time option to extend the term of this Lease for an additional five-year period (the "Renewal Term") for no less than sixty (60%) percent of the premises then being leased, which space must be comprised of full floors, which Renewal Term shall commence on the date immediately succeeding the Expiration Date and end on the fifth anniversary of the Expiration Date, provided, however, that (i) this Lease shall not have been previously terminated, (ii) no event of default shall have occurred and be continuing on either the date the Tenant gives the Landlord written notice of its election to exercise its renewal option or on the date of the commencement of the Renewal Term, (iii) that Tenant shall not have exercised its right of rescission as set forth in paragraph (b) below, and (iv) Tenant shall have no right to renew the term of this Lease with respect to space, if any, leased on the second and third floors. The renewal option may be exercised by the Tenant by giving the Landlord written notice (the "Renewal Notice") of the Tenant's election to do so not later than eighteen (18) months prior to the Expiration Date, TIME BEING OF THE ESSENCE with respect to the giving of such notice. The Tenant shall advise the Landlord in its Renewal Notice whether Tenant is exercising its option for all or only a portion of the premises. Upon the giving of the Renewal Notice, the Tenant shall have no further right or option to extend or renew the term. The Renewal Term shall be on all of the terms, covenants and conditions contained in this Lease, except that the fixed rent shall be determined as set forth in this Article FIFTY-SECOND and the determination of additional rent shall be made in accordance with paragraph (e) of this Article FIFTY-SECOND, and the Landlord shall have no obligation to perform any work in the premises.

  • Equal or “Approved Equal” shall mean equal as determined by DCAS, in its sole discretion.

  • Singapore Dollars means the lawful currency of Singapore.

  • Annual limit on intake or "ALI" means the derived limit for the amount of radioactive material taken into the body of an adult worker by inhalation or ingestion in a year. ALI is the smaller value of intake of a given radionuclide in a year by the reference man that would result in a committed effective dose equivalent of 0.05 sievert (five rem) or a committed dose equivalent of 0.5 sievert (fifty rem) to any individual organ or tissue. ALI values for intake by ingestion and by inhalation of selected radionuclides are given in appendix C to rule 3701:1-38-12 of the Administrative Code.

  • Hire Fee the hire fee specified in Item 13.
